This Purchase Order is issued by Northshore Events & Productions Ltd. to formally engage the services of a professional Musician, David A. - Acceptance: This Purchase Order shall be deemed accepted by the Musician upon written confirmation (email or signed copy) within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order void.
- Payment: Payment of the full amount stated in this Purchase Order shall be made within thirty (30) days of the date of the final invoice submitted by the Musician. Payment shall be made via electronic funds transfer (EFT) to the bank account designated by Kowalski Music & Performance Services Inc. All amounts are denominated in Canadian Dollars (CAD).
- Performance Schedule: The Musician shall adhere to the performance dates and times specified in the attached Schedule A. Any changes to the schedule in Canada Vancouver must be mutually agreed upon in writing no fewer than fourteen (14) days prior to the event date.
- Intellectual Property: All original compositions, arrangements, and audio recordings created by the Musician under this Purchase Order shall become the exclusive property of Northshore Events & Productions Ltd. upon full payment. The Musician retains the right to display the work in a professional portfolio with prior written consent from the buyer.
- Cancellation Policy: Cancellation by the buyer more than thirty (30) days prior to the event date shall incur a 25% cancellation fee. Cancellation between fifteen (15) and thirty (30) days shall incur a 50% fee. Cancellation within fourteen (14) days of the event date in Canada Vancouver shall result in full payment of the Purchase Order amount.
- Insurance and Liability: The Musician shall maintain professional liability insurance with a minimum coverage of $2,000,000 CAD for the duration of this engagement. The Musician shall be responsible for any damage to venue property caused by the Musician or their equipment during the performance in Canada Vancouver.
- Compliance: The Musician warrants that all services rendered under this Purchase Order shall comply with all applicable federal and provincial regulations of Canada, including but not limited to the Copyright Act of Canada, the Canada Labour Code, and the British Columbia Employment Standards Act.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Canada Vancouver, or public health emergencies.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada. Any disputes arising hereunder shall be resolved through arbitration in Canada Vancouver in accordance with the Arbitration Act of British Columbia.
- Entire Agreement: This Purchase Order, together with any attached schedules and amendments, constitutes the entire agreement between the parties regarding the Musician services described herein and supersedes all prior negotiations, representations, or agreements.
