1. Purpose and Scope of Purchase Order

This Purchase Order is issued by Capital Harmony Events Co., Ltd. (hereinafter referred to as the "Purchaser") to formally engage the services of Mr. Zhang Yifan, a professional Musician (hereinafter referred to as the "Musician" or "Artist"), for the provision of live musical performance services in Beijing, China. This Purchase Order governs all terms, conditions, deliverables, and payment arrangements related to the Musician's engagement for the upcoming series of corporate and cultural events hosted by the Purchaser in the Beijing metropolitan area during the third quarter of 2025. The Musician's services are integral to the Purchaser's event programming, and this document serves as the binding commercial instrument authorizing the expenditure of funds for the Musician's professional performance work.

2. Description of Services – Musician Engagement

The Musician, Mr. Zhang Yifan, is engaged as a solo pianist and vocal performer specializing in contemporary Chinese classical fusion and Western classical repertoire. The Musician shall provide the following services as outlined in this Purchase Order:

Applicable VAT (6%): CNY 11,880.00

Grand Total (VAT Inclusive): CNY 209,880.00

3. Payment Terms

Payment for the Musician's services under this Purchase Order shall be made in accordance with the following schedule: (a) A non-refundable deposit of 40% (CNY 83,952.00) shall be remitted to the Musician's designated bank account within five (5) business days of mutual signature of this Purchase Order; (b) A second installment of 40% (CNY 83,952.00) shall be paid within ten (10) business days following the completion of the first two performance engagements (Items 01 and 02); and (c) The remaining balance of 20% (CNY 41,976.00) shall be settled within fifteen (15) business days after the final performance engagement (Item 03) and submission of all required invoices and tax documentation. All payments shall be made via bank transfer to the following account: Bank of China, Beijing Chaoyang Branch, Account Name: Zhang Yifan, Account No. 6217 0000 1234 5678. The Musician shall issue a compliant VAT invoice (fapiao) for each payment tranche in accordance with the regulations of the State Taxation Administration of the People's Republic of China.

4. Terms and Conditions

4.1 The Musician warrants that all musical compositions performed under this Purchase Order are either original works of the Musician or properly licensed, and that no intellectual property infringement shall arise from the Musician's performance in Beijing, China. 4.2 The Musician shall arrive at each venue no later than ninety (90) minutes prior to the scheduled performance start time. 4.3 The Purchaser shall provide a grand piano (Yamaha CFX or equivalent) at each indoor venue and a professional PA system at the outdoor venue. 4.4 Cancellation by the Purchaser more than fourteen (14) days prior to an event shall result in a 50% refund of the deposit for that specific engagement. Cancellation within fourteen (14) days shall forfeit the full deposit. 4.5 The Musician reserves the right to reschedule a performance in the event of documented medical incapacity, provided written notice is given no later than forty-eight (48) hours before the event. 4.6 All performances shall comply with the regulations of the Beijing Municipal Bureau of Culture and Tourism and the relevant performance licensing requirements in China. The Purchaser shall be responsible for obtaining the necessary performance permits, while the Musician shall provide all required personal identification and professional credentials. 4.7 This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising herefrom shall be resolved through arbitration at the Beijing Arbitration Commission in accordance with its then-current rules.

5. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the Musician's engagement in Beijing, China. This document constitutes a complete and final agreement between the Purchaser and the Musician regarding the services described herein.

This Purchase Order (PO-BJ-2025-04782) is issued in duplicate. One copy is retained by the Purchaser and one copy is provided to the Musician. This document is valid only when bearing the official company seal of Capital Harmony Events Co., Ltd. and the handwritten signature of both authorized parties.
