This Purchase Order is issued by Festival Cultural del Valle S.A.S. to formally engage the services of the above-named Musician, Andrés Felipe Gutiérrez Montoya, for the provision of live musical performance, composition, and arrangement services in connection with the "Noches de Jazz en el Valle" cultural festival, to be held in the city of Medellín, Antioquia, Colombia. The Musician shall deliver a minimum of three (3) live performances, each lasting no less than ninety (90) minutes, at the Teatro Metropolitano located in the El Poblado district of Medellín. In addition to live performance, the Musician is contracted to compose and arrange a dedicated set of five (5) original pieces specifically tailored for the festival program, incorporating elements of traditional Colombian cumbia, vallenato, and contemporary jazz fusion. All compositions and arrangements shall be delivered in both audio (WAV, 48 kHz / 24-bit) and written sheet music formats no later than fourteen (14) calendar days prior to the first scheduled performance date.

The Musician shall perform on the following dates at the Teatro Metropolitano, Medellín, Colombia:
- Performance 1: July 18, 2025 – 8:00 PM (Colombia Time, UTC-5)
- Performance 2: July 19, 2025 – 8:00 PM (Colombia Time, UTC-5)
- Performance 3: July 20, 2025 – 8:00 PM (Colombia Time, UTC-5)
- Rehearsal Window: July 14 – July 17, 2025, at the festival rehearsal hall, Medellín
All payments under this Purchase Order shall be made in Colombian Pesos (COP) via bank transfer to the Musician's designated account. The payment schedule is as follows:
- 50% advance payment (COP 9,192,750): Due within five (5) business days of the Musician's written acceptance of this Purchase Order, to be deposited into Banco de Bogotá, Account No. 016-456-789-01, in the name of Andrés Felipe Gutiérrez Montoya.
- 30% milestone payment (COP 5,515,650): Due upon verified delivery of all five (5) composed and arranged pieces in both audio and sheet music formats, no later than July 4, 2025.
- 20% final payment (COP 3,677,100): Due within ten (10) business days following the completion of the third and final live performance on July 20, 2025, in Medellín, Colombia.
Late payments shall accrue interest at the rate established by the Banco de la República de Colombia for overdue obligations. The Musician is required to issue a valid factura electrónica (electronic invoice) in compliance with the DIAN (Dirección de Impuestos y Aduanas Nacionales) regulations of Colombia for each payment tranche.
- Intellectual Property: All compositions and arrangements created by the Musician specifically for this Purchase Order shall be jointly owned by the Musician and Festival Cultural del Valle S.A.S. The Musician retains the right to perform and record the pieces for personal portfolio purposes, provided that the festival is credited as the commissioning entity.
- Compliance with Colombian Law: This Purchase Order is governed by and shall be interpreted in accordance with the civil and commercial laws of the Republic of Colombia. Any disputes arising from this engagement shall be resolved through the competent courts of Medellín, Antioquia, Colombia, or through binding arbitration administered by the Cámara de Comercio de Medellín, at the mutual agreement of both parties.
- Insurance and Liability: The Musician shall maintain valid personal liability insurance throughout the duration of the engagement in Medellín. The Buyer shall provide adequate stage equipment, sound engineering, and venue safety in compliance with Colombian occupational health and safety regulations (Resolución 0312 de 2019, Ministerio de Trabajo).
- Cancellation Policy: Either party may cancel this Purchase Order with a minimum of twenty-one (21) days' written notice. Cancellation by the Buyer within fourteen (14) days of the first performance date shall result in a penalty payment of 75% of the total contract value. Cancellation by the Musician within the same period shall require full refund of all payments received plus a 15% penalty.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the city of Medellín, Colombia.
- Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms of this Purchase Order and any proprietary musical material exchanged during the engagement period.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Musician in Medellín, Colombia. This document constitutes a binding agreement effective upon the signature of both the Buyer's authorized representative and the Musician.
