- This Purchase Order constitutes a binding agreement between Maison Lumière Événements SARL (hereinafter "the Buyer") and Antoine Marchand, Professional Musician (hereinafter "the Musician"), for the provision of musical performance services in France Paris as described in the line items above.
- The Musician shall perform all services in full compliance with French labor law, the Code du Travail, and all applicable regulations governing public performances and entertainment events in France Paris. All necessary performance permits and authorizations from the local mairie and the SACEM (Société des Auteurs, Compositeurs et Editeurs de Musique) shall be secured by the Musician prior to the event date.
- Payment terms: The Buyer shall remit 40% of the Grand Total as an advance payment within five (5) business days of acceptance of this Purchase Order. The remaining 60% shall be paid within thirty (30) days of the successful completion of all deliverables, including the final audio recording. Payments shall be made via bank transfer to the account designated by the Musician.
- The Musician warrants that all compositions, arrangements, and recordings delivered under this Purchase Order shall be original works free from any third-party intellectual property claims. The Musician grants the Buyer a non-exclusive, perpetual license to use the recorded performance for internal corporate communications and archival purposes.
- In the event of cancellation by the Buyer, a cancellation fee of 50% of the Grand Total shall apply if notice is given fewer than fourteen (14) calendar days before the performance date in France Paris. Cancellation by the Musician without valid cause shall entitle the Buyer to a full refund of any advance payment plus 15% penalty.
- All services shall be performed at the venue located in France Paris as specified. The Musician is responsible for the safe transport and proper handling of all musical instruments and equipment. The Buyer shall provide a dedicated loading dock and backstage access at the Palais des Congrès, France Paris.
- This Purchase Order is governed by the laws of the French Republic. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris.
- The Musician shall maintain professional liability insurance with a minimum coverage of € 1,000,000 for the duration of the engagement in France Paris. A certificate of insurance shall be provided to the Buyer no later than seven (7) days before the event.
- Confidentiality: Both parties agree to treat all financial terms, performance details, and proprietary compositions as strictly confidential. No information contained in this Purchase Order shall be disclosed to third parties without prior written consent.
- This Purchase Order is valid for acceptance within fourteen (14) days of the date of issue. Acceptance shall be confirmed in writing by the Musician via signed copy returned to the Buyer's procurement office in France Paris.
