1. PURPOSE AND SCOPE OF THIS PURCHASE ORDERThis Purchase Order is issued by Al-Rafidain Cultural Events Management Co. (hereinafter referred to as the "Buyer") to Mesopotamia Arts & Performance Group LLC (hereinafter referred to as the "Seller") for the engagement of a professional Musician to perform live musical services at a corporate cultural gala event to be held in Iraq Baghdad. This Purchase Order constitutes a binding agreement between both parties upon full execution and shall govern all terms, conditions, deliverables, and payment obligations related to the Musician's engagement. The Musician shall be responsible for providing all musical performance services as detailed in the line items below, and all work shall be conducted within the geographical boundaries of Iraq Baghdad unless otherwise specified in writing by the Buyer.

All services under this Purchase Order shall be performed at the following venue: Al-Mansour Grand Hall, 200 Al-Mansour Street, Al-Mansour District, Iraq Baghdad. The rehearsal session (Item 04) is scheduled for 16 June 2025, 14:00–17:00 (AST). The main performance (Items 01–03) is scheduled for 18 June 2025, 19:00–21:00 (AST). The Musician and all supporting Musicians must arrive at the venue no later than 90 minutes prior to the scheduled start time. All logistics, security clearance, and venue access coordination in Iraq Baghdad shall be managed by the Buyer's events team, and the Seller shall provide all Musician identification documents at least 72 hours in advance for security registration.
4. PAYMENT TERMSPayment for this Purchase Order shall be made in Iraqi Dinar (IQD) via bank transfer to the Seller's designated account. The payment schedule is as follows: (a) 50% advance payment (IQD 5,092,500) due within 5 business days of full execution of this Purchase Order; (b) 50% balance payment (IQD 5,092,500) due within 10 business days following satisfactory completion of all performance services and delivery of the custom composition (Item 05). Late payments shall incur a penalty of 1.5% per month on the outstanding balance. The Buyer reserves the right to withhold payment for any services not rendered to the professional standard expected of a qualified Musician in Iraq Baghdad.
5. TERMS AND CONDITIONS(a) The Seller warrants that the Musician engaged under this Purchase Order is a licensed and professional performer in good standing, with no outstanding legal or contractual obligations that would prevent performance in Iraq Baghdad. (b) The Musician shall comply with all local regulations, cultural sensitivities, and venue policies applicable in Iraq Baghdad. (c) The Seller is responsible for the conduct, punctuality, and professional behavior of the Musician and all supporting Musicians. (d) In the event of cancellation by the Buyer, a 25% cancellation fee applies if notice is given more than 14 days before the event; 50% if notice is given between 7 and 14 days; and 100% if notice is given fewer than 7 days before the event. (e) Force majeure events, including but not limited to security disruptions in Iraq Baghdad, shall be addressed through mutual written agreement. (f) All intellectual property in the custom composition (Item 05) transfers to the Buyer upon final payment. (g) This Purchase Order is governed by the laws of the Republic of Iraq, and any disputes shall be resolved through the competent courts in Iraq Baghdad.
6. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the Musician engagement in Iraq Baghdad. This document is valid only when signed by the authorized representatives of both the Buyer and the Seller.
