A deposit of fifty percent (50%) of the total amount, equal to € 2,238.70 (VAT inclusive), shall be paid within ten (10) business days of the acceptance of this Purchase Order by the Musician.
The remaining balance of fifty percent (50%), equal to € 2,238.70 (VAT inclusive), shall be paid within fifteen (15) calendar days following the successful completion of the performance in Naples, Italy.
All payments shall be made via bank transfer (bonifico bancario) to the following account: IBAN IT60 X054 2811 1010 0000 0123 456, BIC: BLOPIT22, held at Banca Popolare di Napoli, Naples, Italy.
Any late payment shall incur interest at the rate of 1.5% per month, in accordance with Italian Legislative Decree No. 231/2002 on late payment in commercial transactions.

This Purchase Order constitutes a binding agreement between the Buyer and the Musician upon written acceptance by both parties. All services shall be rendered in Naples, Italy, and governed by the laws of the Italian Republic.
The Musician warrants that all compositions performed, including the original Neapolitan-inspired piece, are original works free from any intellectual property claims by third parties. The Musician grants the Buyer a non-exclusive, non-transferable license to record and distribute audio and video of the Naples performance for promotional purposes for a period of twelve (12) months.
The Musician shall arrive at the venue no later than two (2) hours prior to the scheduled performance time for sound check, stage setup, and coordination with the venue's technical staff in Naples.
In the event of cancellation by the Buyer, a cancellation fee of seventy-five percent (75%) of the total Purchase Order value shall apply if notice is given fewer than fourteen (14) days before the performance date. Cancellations made more than fourteen (14) days in advance shall incur no fee.
In the event of cancellation by the Musician without valid cause (force majeure, documented medical emergency, or official government restriction in Naples, Italy), the Musician shall refund the full deposit within ten (10) business days.
The Musician shall comply with all applicable Italian labor, tax, and social security regulations. The Musician is engaged as an independent professional (lavoro autonomo) and is not an employee of the Buyer.
Both parties agree to resolve any disputes arising from this Purchase Order through amicable negotiation. Should negotiation fail, disputes shall be submitted to the competent courts of Naples (Napoli), Italy.
This Purchase Order is valid for a period of thirty (30) days from the date of issue. If not accepted within this period, it shall automatically lapse.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Musician in Naples, Italy.
