This Purchase Order is issued by Eventi Culturali Romani S.r.l. (hereinafter referred to as the "Buyer") to engage the services of Maestro Alessandro Di Benedetto (hereinafter referred to as the "Musician") for the provision of live classical and contemporary musical performance services in Rome, Italy. The Musician shall deliver a full orchestral and solo performance programme as part of the "Estate Romana 2025" cultural festival, a public event held in the historic centre of Rome. The Musician is expected to bring professional-grade instruments, personal equipment, and a supporting ensemble of no fewer than six (6) additional musicians as specified in the line items below. All performance activities shall take place exclusively within the city of Rome, Italy, and the Musician shall comply with all local Italian regulations governing public performances, noise ordinances, and cultural event permits issued by the Comune di Roma.

- Payment Terms: Payment shall be made within thirty (30) calendar days of the date of this Purchase Order via bank transfer to the Musician's designated Italian bank account (IBAN: IT60 X054 2811 1000 0000 0123 456). A 50% advance payment is due upon acceptance of this Purchase Order; the remaining 50% shall be settled within fifteen (15) days following the final performance in Rome, Italy.
- Performance Obligations: The Musician guarantees professional, punctual, and high-quality performance at all scheduled venues in Rome, Italy. The Musician shall arrive at each venue no later than two (2) hours before the public performance to allow for rehearsal, sound check, and stage preparation.
- Compliance with Italian Law: The Musician and all supporting musicians shall hold valid work permits or self-employment registrations (Partita IVA) in Italy. All performances in Rome, Italy, shall comply with the regulations of the SIAE (Società Italiana degli Autori ed Editori) and the local Comune di Roma licensing authority. The Musician is responsible for obtaining any necessary performance rights clearances for the musical works to be performed.
- Cancellation Policy: Cancellation by the Buyer more than fourteen (14) days prior to the performance date in Rome, Italy, shall incur a fee of 25% of the total Purchase Order value. Cancellation within fourteen (14) days shall incur a fee of 50%. Cancellation by the Musician without valid cause shall require full refund of any advance payment received.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures of public venues in Rome, Italy, or public health emergencies declared by the Italian Ministry of Health.
- Intellectual Property: All musical compositions performed by the Musician remain the property of their respective composers. The Buyer is granted a non-exclusive, non-transferable licence to record and distribute audio and video of the performances in Rome, Italy, for promotional purposes only, subject to prior written consent from the Musician.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Rome, Italy.
- Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms of this Purchase Order and any proprietary performance arrangements. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the Musician engagement in Rome, Italy. This document constitutes a binding commercial agreement between the Buyer and the Musician effective from the date of the last signature.
