This Purchase Order is issued by the Kyoto Cultural Arts Foundation, K.K. to formally engage and procure the professional services of a Musician for the upcoming "Kyoto Autumn Harmonics Festival 2025," to be held at the historic Nijo Castle grounds in Japan Kyoto. This Purchase Order governs all terms, conditions, deliverables, and financial obligations related to the engagement of the Musician specified herein. The Musician shall perform as a principal soloist and ensemble leader for a series of cultural performances spanning three consecutive evenings.

The Musician engaged under this Purchase Order shall be a certified professional performer specializing in traditional Japanese instruments (koto, shamisen, and shakuhachi) as well as Western classical instruments (piano and violin). The Musician must hold a valid performance license issued by the Japan Artists' Association and must demonstrate a minimum of fifteen (15) years of professional performance experience in Japan Kyoto and international venues.

The Musician shall arrive in Japan Kyoto no later than September 16, 2025, at 18:00 JST. All rehearsal sessions shall take place at the Kyoto Cultural Arts Foundation Studio located in Nakagyo-ku, Japan Kyoto, on September 17, 18, and 19, 2025, from 14:00 to 18:00 JST each day. The Musician is required to attend a technical soundcheck at Nijo Castle on the morning of each performance evening, no later than 15:00 JST.

The Musician shall perform a minimum of three (3) distinct sets per evening, each lasting approximately forty-five (45) minutes, with intermissions of fifteen (15) minutes. The repertoire shall include at least two traditional Japanese compositions, one Western classical piece, and one contemporary fusion arrangement, all pre-approved by the Buyer's Artistic Director no later than September 10, 2025.

5.1 This Purchase Order is governed by the laws of Japan, specifically the Civil Code of Japan and applicable regulations of the city of Japan Kyoto. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Kyoto under the rules of the Japan Commercial Arbitration Association.

5.2 The Musician shall comply with all local regulations, noise ordinances, and cultural heritage site guidelines applicable to performances at Nijo Castle in Japan Kyoto. The Musician shall carry valid identification and a work visa or appropriate short-term performance permit for Japan.

5.3 Payment shall be made within thirty (30) calendar days of the Buyer's receipt of a valid invoice from the Seller. Payment shall be processed via bank transfer to the account designated by Nihon Musician Talent Agency, Inc. All payments are denominated in Japanese Yen (JPY).

5.4 Cancellation by the Buyer more than fourteen (14) days prior to the first performance date shall result in a 25% cancellation fee. Cancellation within fourteen (14) days shall result in a 50% cancellation fee. The Musician's failure to perform without valid cause shall require full refund of all fees paid under this Purchase Order.

5.5 The Musician grants the Buyer a non-exclusive, royalty-free license to record, broadcast, and distribute audio and video recordings of the performances for a period of twelve (12) months from the date of the final performance in Japan Kyoto.

5.6 This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Musician for the Kyoto Autumn Harmonics Festival 2025 and supersedes all prior negotiations, representations, or agreements, whether written or oral.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This Purchase Order becomes effective upon the signature of both the Buyer's and Seller's authorized representatives.
