3. Description of Purchase Order — Musician Services in Japan Tokyo

This Purchase Order is issued by Shibuya Cultural Events Co., Ltd. to formally engage the services of Musician Yuki Harada for a series of live performance events to be held across multiple venues in Japan Tokyo during the period of August 2025. The Musician shall provide professional live musical performances, including but not limited to solo recitals, ensemble direction, and cultural fusion concerts, in accordance with the specifications outlined in this document. All services rendered under this Purchase Order shall comply with the regulations of the Tokyo Metropolitan Government regarding public performance, noise ordinances, and cultural event permits applicable within the Tokyo metropolitan area.

5. Terms and Conditions
  1. Scope of Musician Services: The Musician, Yuki Harada, shall perform all duties described in Section 4 of this Purchase Order with professional proficiency. The Musician is responsible for bringing all personal instruments (Koto, Shamisen, portable piano) and ensuring they are in performance-ready condition prior to each engagement in Japan Tokyo.
  2. Performance Permits & Compliance: The Buyer shall obtain all necessary public performance permits, noise compliance certificates, and venue access authorizations required by the Tokyo Metropolitan Government and relevant ward offices. The Musician shall provide a valid talent license and proof of insurance (minimum 50,000,000 JPY liability coverage) prior to the first performance date.
  3. Payment Schedule: A 40% advance payment (902,000 JPY) shall be remitted within 10 business days of this Purchase Order's acceptance. The remaining 60% (1,353,000 JPY) shall be paid within 30 days following the completion of all scheduled Musician performances in Japan Tokyo. Payments shall be made via bank transfer to the account specified by the Musician's agency.
  4. Cancellation Policy: Cancellation by the Buyer more than 30 days prior to any scheduled Musician performance in Japan Tokyo shall incur a 20% fee. Cancellation between 15 and 30 days shall incur a 50% fee. Cancellation within 15 days shall result in full payment of the applicable line item. Cancellation by the Musician without valid cause (illness, force majeure) shall result in a full refund of the affected line item.
  5. Intellectual Property: All original compositions performed by the Musician during engagements under this Purchase Order remain the intellectual property of the Musician. The Buyer receives a non-exclusive, non-transferable license to use audio recordings from the September 12, 2025 session for promotional purposes within Japan Tokyo for a period of 12 months.
  6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters (including earthquakes, typhoons common to Japan Tokyo), government-mandated closures, or other events beyond reasonable control. Affected Musician performance dates shall be rescheduled within 60 days at no additional cost.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order regarding Musician services in Japan Tokyo shall be resolved through arbitration in Tokyo under the rules of the Japan Commercial Arbitration Association.
  8. Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms of this Purchase Order and any proprietary performance materials exchanged between the Buyer and the Musician.
6. Acceptance & Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Musician services to be delivered in Japan Tokyo. This document constitutes a binding agreement upon execution by both authorized representatives.
