1. This Purchase Order constitutes a binding agreement between the Buyer and the Musician supplier for the provision of musical performance and related artistic services in Nepal Kathmandu.
2. The Musician shall maintain professional conduct at all times during performances and rehearsals held in Nepal Kathmandu and shall adhere to the cultural sensitivities and traditions of the local community.
3. All services described in this Purchase Order shall be performed by the named Musician, Tenzin Lhamo Sherpa, or by a substitute of equivalent skill and experience with prior written approval from the Buyer.
4. The Musician shall provide all necessary instruments, equipment, and personal attire required for performances unless otherwise specified in the line items of this Purchase Order.
5. Payment shall be processed via bank transfer to the Musician's registered account in Nepal Kathmandu within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number.
6. The Musician is responsible for obtaining and maintaining all necessary performance permits, licenses, and registrations required by the Nepal Kathmandu Metropolitan City (KMC) and the Department of Arts, Culture, and Tourism, Government of Nepal.
7. Any cancellation of a scheduled performance by the Buyer must be communicated to the Musician at least seventy-two (72) hours in advance. Cancellations within 72 hours shall incur a 50% fee of the scheduled performance amount.
8. The Musician shall not assign or subcontract any portion of the services under this Purchase Order without the prior written consent of the Buyer.
9. All intellectual property rights in compositions and arrangements created specifically for the Buyer under this Purchase Order shall vest in the Buyer upon full payment, while the Musician retains the right to perform such works in other venues in Nepal Kathmandu and internationally.
10. This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Nepal, and any disputes shall be resolved through arbitration in Nepal Kathmandu in accordance with the Arbitration Act, 1994 of Nepal.
11. The Musician shall carry adequate professional liability insurance covering all performances and activities conducted under this Purchase Order in Nepal Kathmandu.
12. Force majeure events, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting Nepal Kathmandu, shall relieve both parties from performance obligations for the duration of such event.

By signing below, both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order for the procurement of Musician services in Nepal Kathmandu. This document serves as the official record of the commercial agreement between the Buyer and the Musician supplier.
