This Purchase Order is issued by Amsterdam Cultural Events B.V. (hereinafter referred to as the "Buyer") to Jan de Vries Musician Services (hereinafter referred to as the "Musician" or "Supplier") for the provision of professional musician services in connection with the annual Amsterdam Cultural Festival 2025, to be held in the city of Amsterdam, Netherlands. This Purchase Order constitutes a binding agreement for the scope of work, compensation, and terms outlined herein. The Musician shall perform all obligations in accordance with the specifications detailed in this Purchase Order and in compliance with all applicable laws and regulations of the Netherlands.

4.1 Payment Terms

Payment of the total Purchase Order amount of EUR 8,034.40 shall be made via bank transfer to the IBAN specified in Section 2 within thirty (30) calendar days from the date of this Purchase Order. A 50% advance payment (EUR 4,017.20) is due upon acceptance of this Purchase Order by the Musician. The remaining 50% balance shall be settled within fourteen (14) days following the successful completion of the performance in Amsterdam.

4.2 Delivery and Performance Location

All services under this Purchase Order shall be rendered in Amsterdam, Netherlands. The primary performance venue is the Concertgebouw, Concertgebouwplein 10, 1071 LK Amsterdam. Rehearsals shall take place at Muziekgebouw aan 't IJ, IJburglaan 1, 1081 HZ Amsterdam. The Musician is responsible for arriving at all venues in Amsterdam no later than ninety (90) minutes prior to the scheduled start time.

4.3 Cancellation and Force Majeure

Either party may cancel this Purchase Order with a minimum of twenty-one (21) days' written notice. Cancellation within fourteen (14) days of the performance date shall incur a penalty of 50% of the total Purchase Order value. In the event of force majeure, including but not limited to severe weather, public health emergencies, or government-mandated closures in the Netherlands, the affected party shall notify the other within forty-eight (48) hours, and both parties shall negotiate in good faith to reschedule or amend the Purchase Order.

4.4 Intellectual Property

All musical compositions performed by the Musician under this Purchase Order remain the intellectual property of the Musician or the respective copyright holders. The Buyer is granted a non-exclusive, non-transferable licence to record and distribute audio and video of the Amsterdam performance for promotional purposes for a period of twelve (12) months.

4.5 Governing Law and Jurisdiction

This Purchase Order shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent court in Amsterdam, Netherlands.

4.6 Compliance

The Musician warrants that all services provided under this Purchase Order shall comply with the Dutch Working Conditions Act (Arbeidsomstandighedenwet), the Dutch Copyright Act (Auteurswet), and all applicable municipal regulations of the Municipality of Amsterdam. The Musician shall hold all necessary permits and registrations required to perform in the Netherlands.
