- Payment Terms: A 50% advance payment (NGN 800,875.00) shall be remitted to the Musician within five (5) business days of acceptance of this Purchase Order. The remaining 50% balance (NGN 800,875.00) shall be paid within seven (7) business days following the successful completion of the event in Nigeria Lagos.
- Performance Obligation: The Musician shall arrive at the venue no later than 15:00 WAT on the event date to conduct the sound check and musical arrangement session. The Musician is expected to deliver a minimum of three (3) distinct musical sets during the four-hour engagement.
- Cancellation Policy: Should the Buyer need to cancel this Purchase Order, a written notice must be provided at least fourteen (14) calendar days prior to the event date. Cancellations within fourteen days shall be subject to a 25% penalty on the total Purchase Order value. Cancellations within seventy-two (72) hours of the event shall incur a 50% penalty.
- Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to acts of God, government restrictions, civil unrest in Nigeria Lagos, or other events beyond reasonable control.
- Intellectual Property: All custom compositions and arrangements created by the Musician under this Purchase Order shall become the exclusive property of Lagos Events & Entertainment Holdings Ltd. upon full payment. The Musician retains the right to perform the compositions at other venues with prior written consent from the Buyer.
- Insurance and Liability: The Musician shall maintain adequate professional liability insurance covering performance in Nigeria Lagos. The Buyer shall not be held responsible for any injury or damage to the Musician or their equipment during the event.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
- Compliance: The Musician warrants that all services rendered under this Purchase Order shall comply with the regulations of the Nigerian Copyright Commission (NCC) and the relevant entertainment licensing authorities in Nigeria Lagos.
By signing below, both parties acknowledge and agree to the terms, conditions, and obligations set forth in this Purchase Order for the procurement of Musician services in Nigeria Lagos.
