3.1 Scope of Engagement: This Purchase Order authorizes the engagement of the named Musician to perform live musical services at the designated venue in Riyadh, Kingdom of Saudi Arabia. The Musician shall comply with all cultural performance regulations issued by the General Entertainment Authority (GEA) of Saudi Arabia and shall hold a valid performance permit for the event date.
3.2 Performance Standards: The Musician shall arrive at the venue no later than four (4) hours prior to the scheduled start time. All instruments, audio equipment, and personal performance materials must be in professional condition. The Musician is responsible for the quality, accuracy, and cultural appropriateness of all musical content performed in Riyadh, Saudi Arabia.
3.3 Payment Terms: A deposit of fifty percent (50%) of the total Purchase Order amount, equivalent to SAR 11,500.00, shall be remitted within five (5) business days of acceptance of this Purchase Order. The remaining fifty percent (50%) shall be paid within ten (10) business days following the successful completion of the performance in Riyadh. All payments shall be made via bank transfer to the Musician's registered account in Saudi Arabia.
3.4 Cancellation and Rescheduling: In the event of cancellation by the issuing entity, a fee of twenty-five percent (25%) of the total Purchase Order value shall be due if cancellation occurs more than fourteen (14) days before the event date in Riyadh. Cancellations within fourteen (14) days shall incur a fifty percent (50%) fee. The Musician reserves the right to reschedule once at no additional cost, subject to mutual agreement.
3.5 Intellectual Property: All original compositions and arrangements created specifically for this event in Riyadh, Saudi Arabia, shall remain the intellectual property of the Musician. The issuing entity is granted a non-exclusive, non-transferable license to use recorded footage and audio of the performance for internal promotional purposes within the Kingdom of Saudi Arabia for a period of twelve (12) months.
3.6 Compliance and Legal: This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. The Musician warrants that all services rendered in Riyadh shall comply with the Saudi Labor Law, the Commercial Transactions Law, and all applicable regulations of the General Entertainment Authority. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Riyadh, Saudi Arabia.
3.7 Insurance and Liability: The Musician shall maintain adequate personal liability insurance coverage for the duration of the engagement in Riyadh. The issuing entity shall provide venue-specific event insurance. Neither party shall be liable for damages resulting from force majeure events, including but not limited to severe weather conditions in Riyadh or government-mandated event suspensions.
3.8 Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms of this Purchase Order and any proprietary event details. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
