This Purchase Order is issued by Dakar Cultural Events & Productions SARL to formally procure the professional services of a Musician for a series of cultural performances, corporate events, and public festivals scheduled to take place in Senegal Dakar during the period of July 2025 through September 2025. This document constitutes a binding agreement between the Purchasing Entity and the Musician, and all terms, conditions, deliverables, and payment schedules outlined herein shall govern the engagement. The Musician is engaged to provide live musical performances, rehearsal sessions, and related artistic services as specified in the line items below. All services shall be rendered within the geographic boundaries of Senegal Dakar, including but not limited to the Plateau, Médina, Yoff, and Almadies districts.

The total value of this Purchase Order is Five Million (5,000,000) CFA Francs (XOF), exclusive of applicable taxes. Payment shall be made via bank transfer to the Musician's designated account at Banque Atlantique Sénégal, IBAN: SN07 1007 6000 1234 5678 9012 345. The payment schedule is as follows:
Advance Payment (40%): Two Million (2,000,000) XOF shall be remitted within five (5) business days of the Musician's written acceptance of this Purchase Order, no later than 22 June 2025.
Progress Payment (30%): One Million Five Hundred Thousand (1,500,000) XOF shall be paid upon completion of items 01 through 04, subject to satisfactory performance review by the Purchasing Entity, no later than 15 August 2025.
Final Payment (30%): One Million Five Hundred Thousand (1,500,000) XOF shall be paid within ten (10) business days following the completion of item 06 and delivery of all recorded materials from item 05, no later than 30 September 2025.
- Performance Standards: The Musician shall perform all services in a professional and timely manner, adhering to the set times, locations, and artistic briefs specified in this Purchase Order. All performances shall take place in Senegal Dakar unless otherwise agreed in writing by both parties.
- Equipment and Materials: The Musician shall provide all personal instruments, including but not limited to kora, sabar, djembe, and auxiliary percussion. The Purchasing Entity shall provide stage amplification, sound engineering, lighting, and a minimum of two (2) backup microphones at each performance venue in Senegal Dakar.
- Ensemble Personnel: For items 01 and 06, the Musician shall engage and compensate up to six (6) additional musicians from his or her ensemble. The costs of such ensemble members are included in the unit prices stated in Section 3 of this Purchase Order.
- Intellectual Property: All original compositions, recordings, and artistic works created by the Musician during the recording session (Item 05) shall be jointly owned by the Musician and the Purchasing Entity. The Purchasing Entity shall have the right to use the recordings for promotional purposes within Senegal Dakar and internationally for a period of three (3) years.
- Cancellation and Rescheduling: Either party may cancel or reschedule a performance with a minimum of fourteen (14) days' written notice. Cancellations within fourteen (14) days of the scheduled date shall incur a penalty of fifty percent (50%) of the applicable line-item value, payable by the cancelling party.
- Force Majeure: Neither party shall be liable for failure to perform due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Senegal Dakar, or public health emergencies. Affected parties shall notify each other within forty-eight (48) hours of the occurrence.
- Compliance with Local Law: The Musician warrants that all services rendered under this Purchase Order shall comply with the laws of the Republic of Senegal, including but not limited to the Senegalese Labor Code, the Code of Intellectual Property, and all municipal regulations governing public performances in Dakar.
- Insurance: The Musician shall maintain adequate professional liability insurance and personal accident coverage for the duration of this engagement. The Purchasing Entity shall maintain venue and event liability insurance for all performance locations in Senegal Dakar.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to the competent commercial court of Dakar, Senegal, and the laws of Senegal shall govern this agreement.
- Confidentiality: Both parties agree to maintain the confidentiality of all business terms, financial details, and proprietary information exchanged in connection with this Purchase Order for a period of two (2) years following the completion of all services.
This Purchase Order becomes effective upon the written signature of both the authorized representative of the Purchasing Entity and the Musician. By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this document. The Musician confirms availability for all dates and locations specified in Senegal Dakar and agrees to deliver services of the quality and scope described herein.
