This Purchase Order is issued by Meridian Events Pte. Ltd. (hereinafter referred to as the "Buyer") to Harmony Arts Collective (S) Pte. Ltd. (hereinafter referred to as the "Supplier") for the engagement of a professional Musician to perform at the annual corporate gala dinner hosted by the Buyer. The Musician shall provide live musical entertainment in accordance with the specifications outlined in this Purchase Order. All services rendered under this Purchase Order shall be performed exclusively within the jurisdiction of Singapore Singapore, and the Musician shall comply with all applicable regulations of the Singapore Singapore entertainment industry, including but not limited to the Entertainment Act and guidelines issued by the Infocomm Media Development Authority (IMDA) of Singapore Singapore.

All amounts are denominated in Singapore Dollars (SGD). Payment shall be made via bank transfer to the Supplier's designated account in Singapore Singapore.

5.1 This Purchase Order is governed by the laws of Singapore Singapore. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Singapore Singapore.

5.2 The Musician engaged under this Purchase Order shall be a licensed and registered performer in Singapore Singapore. The Supplier warrants that the Musician holds valid work permits or employment passes as required by the Immigration and Checkpoints Authority (ICA) of Singapore Singapore.

5.3 The Musician shall arrive at the designated venue in Singapore Singapore no later than 90 minutes prior to the scheduled performance time. Failure to do so shall constitute a material breach of this Purchase Order.

5.4 The Supplier shall provide the Buyer with a detailed setlist and performance programme at least seven (7) calendar days prior to the event date. The Musician shall perform a minimum of twelve (12) distinct pieces as agreed upon in the setlist.

5.5 Payment Terms: 50% of the total Purchase Order value shall be due within fourteen (14) days of the issue date of this Purchase Order. The remaining 50% shall be payable within twenty-one (21) days following satisfactory completion of the performance in Singapore Singapore.

5.6 The Musician shall adhere to all health and safety protocols mandated by the Workplace Safety and Health (WSH) Department of Singapore Singapore during the performance and rehearsal periods.

5.7 Cancellation Policy: Should the Buyer wish to cancel this Purchase Order, written notice must be provided at least fourteen (14) days prior to the performance date. Cancellations within fourteen (14) days shall incur a penalty of 50% of the total Purchase Order value. Cancellations within seventy-two (72) hours shall incur a penalty of 100% of the total Purchase Order value.

5.8 The Supplier shall maintain professional liability insurance with a minimum coverage of SGD 1,000,000 for the duration of the engagement in Singapore Singapore.

5.9 All intellectual property rights in any custom compositions created by the Musician under Item 05 of this Purchase Order shall vest in the Buyer upon full payment, subject to a non-exclusive performance licence retained by the Musician for portfolio purposes.

The performance venue for this Purchase Order is the Grand Ballroom, Level 3, located at 100 Harbourfront Road, Singapore Singapore 098563. The Supplier and the Musician shall coordinate directly with the Buyer's venue manager for access, parking, and stage requirements. All equipment brought by the Musician into the venue in Singapore Singapore must comply with the venue's load-in and load-out schedules.

This Purchase Order is deemed accepted upon written confirmation by the Supplier within five (5) business days of receipt. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the Musician engagement in Singapore Singapore.
