Note regarding the Musician in Barcelona, Spain: The Musician, Enric Vidal Soler, is a registered self-employed professional (autónomo) in Barcelona, Spain, and is fully responsible for his own social security contributions (Seguridad Social) and income tax (IRPF) as mandated by Spanish law. Catalunya Events & Productions S.L. shall issue a valid Spanish invoice (factura) upon receipt of the Musician's documentation. All performances are subject to the applicable municipal noise regulations of the Ajuntament de Barcelona and the Catalan regional cultural licensing authority (Generalitat de Catalunya, Departament de Cultura).- Scope of Engagement: This Purchase Order constitutes a binding agreement between Catalunya Events & Productions S.L. (hereinafter "the Buyer") and the Musician, Enric Vidal Soler (hereinafter "the Musician"), for the provision of professional musical performance services in Barcelona, Spain, as detailed in the line items above.
- Performance Obligations: The Musician shall attend all scheduled performances and rehearsals in Barcelona, Spain, punctually and in professional condition. The Musician shall bring all personal instruments, sheet music, and performance attire required for each engagement listed in this Purchase Order.
- Substitution Policy: The Musician shall not substitute or delegate any performance obligation to another musician without prior written consent from the Buyer. Any approved substitute must hold equivalent professional credentials and be registered as a self-employed worker in Spain.
- Payment Schedule: The Buyer shall remit 50% of the Grand Total (€ 3,505.98) via bank transfer to the Musician's designated Spanish IBAN account within 5 business days of mutual acceptance of this Purchase Order. The remaining 50% (€ 3,505.97) shall be paid within 15 business days following the final performance on 24 August 2025 in Barcelona, Spain, subject to satisfactory completion of all services.
- Cancellation and Rescheduling: Either party may cancel this Purchase Order with a minimum of 14 calendar days' written notice prior to the first performance date. Cancellation within 14 days shall incur a penalty of 40% of the Grand Total. Force majeure events, including but not limited to severe weather affecting outdoor venues in Barcelona, Spain, or government-issued public health restrictions, shall exempt both parties from penalty.
- Intellectual Property: All original compositions performed by the Musician during the engagements in Barcelona, Spain, remain the exclusive intellectual property of the Musician. The Buyer is granted a non-exclusive, non-transferable licence to record and distribute audio and video of the performances for promotional purposes for a period of 12 months.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Spain, specifically the Spanish Civil Code and the applicable regulations of the Generalitat de Catalunya. Any disputes arising from this Purchase Order shall be submitted to the competent courts of Barcelona, Spain.
- Compliance with Spanish and Catalan Regulations: The Musician warrants that he holds all necessary permits, licences, and registrations required to perform publicly in Barcelona, Spain, including but not limited to the municipal performance licence issued by the Ajuntament de Barcelona and any applicable Catalan regional cultural permits. The Buyer shall provide all necessary venue access credentials and safety briefings in accordance with Spanish workplace safety legislation (Ley de Prevención de Riesgos Laborales).
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the financial terms of this Purchase Order and any proprietary event information disclosed during the engagement in Barcelona, Spain.
- Entire Agreement: This Purchase Order, together with any attached schedules or addenda, constitutes the entire agreement between the Buyer and the Musician and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
