This Purchase Order is issued by Ankara Cultural Events & Productions Ltd. (hereinafter referred to as the "Buyer") to Anatolian Musician Collective & Performance Services (hereinafter referred to as the "Supplier") for the procurement of professional Musician services to be performed, delivered, and executed within the metropolitan boundaries of Turkey Ankara. This document constitutes a binding commercial agreement governing the scope, schedule, compensation, and operational parameters of the Musician engagement. All services rendered under this Purchase Order shall comply with the regulations set forth by the Republic of Turkey's Ministry of Culture and Tourism, as well as the local municipal ordinances of the Ankara Metropolitan Municipality (Ankara Büyükşehir Belediyesi) pertaining to live musical performances, noise regulations, and public event permits.
2. Scope of Work — Musician Engagement DetailsThe Supplier shall provide a fully qualified and experienced Musician (or ensemble of Musicians, as specified per event) for the following engagements scheduled across various venues in Turkey Ankara. The Musician shall be responsible for all musical performance duties, including but not limited to pre-event sound checks, live performance delivery, post-event equipment coordination, and adherence to the artistic direction provided by the Buyer's event production team. The Musician must hold a valid Turkish work permit or be a Turkish national, and must possess a minimum of five (5) years of professional performance experience in the genre specified for each engagement.

- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Supplier. The Supplier must confirm acceptance in writing within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
- Musician Qualifications: The Supplier warrants that the Musician (or Musicians) assigned to each engagement listed in Section 3 shall meet or exceed the qualifications, experience, and genre expertise specified herein. The Buyer reserves the right to request and review professional references, performance recordings, and relevant credentials prior to the commencement of any engagement in Turkey Ankara.
- Performance Standards: The Musician shall arrive at the designated venue in Turkey Ankara no later than ninety (90) minutes prior to the scheduled performance start time to conduct sound checks, equipment setup, and coordination with the Buyer's technical production team. The Musician shall maintain professional conduct throughout the engagement and shall adhere to all venue-specific rules and regulations.
- Equipment and Materials: Unless otherwise specified in writing, the Musician shall provide all personal instruments, accessories, and performance attire required for the engagement. The Buyer shall provide the venue's standard sound reinforcement system, stage, lighting, and any additional technical equipment as outlined in the individual event production briefs.
- Payment Schedule: Payment for services rendered under this Purchase Order shall be made in Turkish Lira (TRY) via bank transfer to the Supplier's designated account. A 40% advance payment shall be due within ten (10) business days of Purchase Order acceptance. The remaining 60% balance shall be due within thirty (30) calendar days following the successful completion of each individual engagement, subject to the Buyer's written performance acceptance.
- Cancellation and Rescheduling: Either party may cancel or reschedule a specific Musician engagement listed in this Purchase Order by providing a minimum of fourteen (14) calendar days' written notice. Cancellations made within fourteen (14) days of the scheduled performance date shall incur a 50% penalty fee on the applicable line item. Cancellations made within seventy-two (72) hours of the performance shall incur a 100% penalty fee.
- Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance and public liability insurance with a minimum coverage of TRY 5,000,000 for all Musician activities conducted within Turkey Ankara. The Supplier shall indemnify and hold harmless the Buyer against any claims, damages, or liabilities arising from the Musician's negligence, injury to third parties, or damage to property during the course of the engagement.
- Intellectual Property: All original musical compositions, arrangements, and recordings created specifically for the Buyer's events under this Purchase Order shall be the exclusive intellectual property of the Buyer. The Musician retains the right to perform pre-existing compositions subject to applicable copyright and performance licensing regulations in the Republic of Turkey.
- Compliance with Turkish Law: All services rendered under this Purchase Order shall be performed in full compliance with the laws of the Republic of Turkey, including but not limited to the Turkish Labor Code (4857), the Turkish Code of Obligations (6098), the Law on the Protection of Personal Data (KVKK - 6698), and all applicable municipal regulations of Ankara regarding public performances, noise levels, and event permits.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from or in connection with this Purchase Order shall be resolved through the competent courts of Ankara, Turkey. The parties agree to attempt good-faith mediation before initiating any formal legal proceedings.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, epidemics, or acts of war affecting the Turkey Ankara region. The affected party shall notify the other party in writing within forty-eight (48) hours of the occurrence of such event.
- Entire Agreement: This Purchase Order, together with any attached exhibits, event production briefs, and written amendments, constitutes the entire agreement between the Buyer and the Supplier regarding the Musician services described herein. No oral representations or prior agreements shall be binding unless expressly incorporated into this document in writing.
