This Purchase Order is issued by Kampala Cultural Events & Entertainment Ltd. (hereinafter referred to as "the Purchaser") to Mr. Emmanuel Kato, operating as Kato Music & Performance Services (hereinafter referred to as "the Musician"), for the provision of professional musical performance services, related equipment, and ancillary entertainment deliverables. This Purchase Order governs all terms, conditions, pricing, and obligations between the Purchaser and the Musician for the engagement described herein. The Musician acknowledges receipt of this Purchase Order and agrees to fulfill all line items and conditions stated below.

All services under this Purchase Order shall be performed in Kampala, Uganda, at the specific venues and dates communicated in writing by the Purchaser no later than seven (7) calendar days prior to each engagement. The Musician shall confirm availability in writing within forty-eight (48) hours of receiving the schedule. The primary performance venue is Kololo Grounds, Kampala, and the secondary venue is the Sheraton Kampala Hotel, both located within Kampala city limits, Uganda.

Payment for this Purchase Order shall be made in Ugandan Shillings (UGX) via bank transfer to the Musician's designated account at Stanbic Bank Uganda, Kampala branch. A fifty percent (50%) advance payment shall be due within seven (7) days of the Musician's written acceptance of this Purchase Order. The remaining fifty percent (50%) balance shall be paid within thirty (30) days of the final performance date or delivery of the last deliverable, whichever is later. Late payments shall attract interest at the rate of 2% per month as stipulated under the Uganda Bank of Uganda guidelines.

Either party may cancel this Purchase Order by providing fourteen (14) days' written notice. In the event of cancellation by the Purchaser after the Musician has commenced preparation or rehearsal, the Musician shall be entitled to a minimum of fifty percent (50%) of the total Purchase Order value as compensation for time and resources committed. Any amendments to the scope, schedule, or pricing of this Purchase Order must be documented in a written addendum signed by both parties and shall not invalidate the original Purchase Order number PO-KCE-2025-0472.

All original compositions, recordings, and jingles created by the Musician specifically under this Purchase Order shall become the exclusive intellectual property of Kampala Cultural Events & Entertainment Ltd. upon full payment. The Musician retains the right to perform pre-existing original works at the Kampala events but shall not record or distribute such performances without prior written consent from the Purchaser. The Musician warrants that all material performed or delivered is free from third-party copyright claims and shall indemnify the Purchaser against any infringement claims arising in Kampala, Uganda, or internationally.

This Purchase Order is governed by the laws of the Republic of Uganda. Any disputes arising from this Purchase Order shall be resolved through mediation in Kampala, Uganda, before escalation to the competent courts of Kampala. The Musician shall maintain valid professional liability insurance throughout the duration of this Purchase Order. The Musician shall comply with all applicable regulations of the Uganda Copyright Board and the Uganda Revenue Authority. This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.

By signing below, both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order. The Musician confirms that all services, equipment, and deliverables listed are within their professional capacity and that they possess all necessary permits and registrations to perform in Kampala, Uganda.
