1. This Purchase Order constitutes a binding agreement between Bayou City Events & Productions, LLC (hereinafter "Buyer") and James R. Calloway, d/b/a Calloway Music Group (hereinafter "Musician" or "Vendor"), for the provision of professional musician services in Houston, Texas, United States.
2. The Musician agrees to perform all services described in Section 3 of this Purchase Order in a professional, timely, and workmanlike manner consistent with industry standards for live musical performance in the Houston, Texas metropolitan area.
3. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Musician. Payment will be issued via ACH transfer to the bank account on file with the Buyer's accounts payable department in Houston, Texas.
4. The Musician shall provide all personal instruments, amplification equipment, and vocal microphones necessary for the performance. The Buyer shall provide stage monitors, backline drums, and a dedicated stage manager at the Houston venue.
5. Any cancellation by the Buyer more than fourteen (14) days prior to the event date shall result in a 50% refund of the total Purchase Order value. Cancellations within fourteen (14) days shall be non-refundable. Cancellation by the Musician without cause shall result in a full refund of any advance payment made.
6. The Musician warrants that all original compositions and arrangements delivered under this Purchase Order are the sole intellectual property of the Musician and do not infringe upon any third-party rights. The Buyer is granted a non-exclusive, perpetual license to use the custom composition for promotional purposes related to the Houston Summer Music Festival 2025.
7. This Purchase Order is governed by the laws of the State of Texas, United States. Any disputes arising hereunder shall be resolved in the courts of Harris County, Houston, Texas.
8. The Musician shall maintain adequate professional liability insurance with a minimum coverage of $1,000,000 per occurrence for the duration of the engagement in Houston, Texas. A certificate of insurance shall be provided to the Buyer no later than July 1, 2025.
9. All services rendered under this Purchase Order shall comply with applicable United States federal, Texas state, and Houston municipal regulations, including but not limited to noise ordinances, venue capacity rules, and entertainment licensing requirements.
10. This Purchase Order may not be assigned or subcontracted by the Musician without prior written consent from the Buyer. The Musician is engaged as an independent contractor and not as an employee of Bayou City Events & Productions, LLC.

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Musician in Houston, United States.
