1. Scope of Services: This Purchase Order authorizes West Coast Musician Collective, Inc. to provide the Musician services, equipment rentals, and logistical support as itemized above for the "Harmony in the City" live concert series to be performed in Los Angeles, United States. All Musician personnel must be professionally insured and hold valid California performer's licenses where applicable.
2. Performance Standards: Each Musician engaged under this Purchase Order shall arrive at the venue no later than 90 minutes prior to the scheduled performance time. Soundcheck and rehearsal sessions are included in the contracted hours. Failure to meet the agreed-upon schedule in Los Angeles, United States, may result in a 10% deduction per incident.
3. Cancellation Policy: The Buyer may cancel this Purchase Order with a minimum of 14 calendar days' written notice prior to the first performance date. Cancellations within 14 days will incur a 50% fee of the total Purchase Order value. Cancellations within 72 hours will incur a 100% fee.
4. Payment Schedule: A 40% deposit ($14,532.34) is due upon acceptance of this Purchase Order. The remaining 60% ($21,798.51) shall be invoiced within 5 business days following the final performance and is payable within 30 days of the invoice date via wire transfer to the account specified above.
5. Insurance and Liability: The Seller (Musician provider) shall maintain general liability insurance of no less than $2,000,000 per occurrence and $5,000,000 aggregate, naming Golden State Entertainment Productions, LLC as an additional insured. All Musician personnel must carry their own professional equipment insurance.
6. Intellectual Property: All original compositions performed by the Musician personnel during the engagement in Los Angeles, United States, remain the property of the respective Musician or their publisher. The Buyer is granted a one-time license to record and distribute audio/video of the live performances for promotional purposes only.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, natural disasters, government mandates, or other events beyond reasonable control, including but not limited to severe weather affecting the Los Angeles, United States area.
9. Compliance: All Musician personnel must comply with local Los Angeles city ordinances regarding noise, curfew, and public performance permits. The Seller is responsible for obtaining any necessary permits for the Musician ensemble's presence at the venue.
By signing below, both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order for Musician services to be rendered in Los Angeles, United States. This document constitutes a binding agreement upon execution by both parties.
