TERMS AND CONDITIONS

1. This Purchase Order is issued by Eventos Musicales Caracas, C.A., a legally registered entity operating in Venezuela Caracas, and constitutes a formal request for the professional services of the Musician identified above. The Musician acknowledges receipt of this Purchase Order and agrees to fulfill all obligations herein by the specified service date.

2. The Musician shall provide all musical instruments, personal equipment, and attire necessary for the performance in Venezuela Caracas. The venue, Centro de Convenciones Simón Bolívar, shall provide a grand piano (Yamaha C3 or equivalent), a full PA system, and a dedicated stage area as specified in the technical rider attached to this Purchase Order.

3. Payment shall be made in United States Dollars (USD) via bank transfer to the account designated by the Musician. The full amount of this Purchase Order, totaling $4,176.00, shall be due within thirty (30) calendar days from the date of successful completion of services in Venezuela Caracas. Late payments shall incur a penalty of 1.5% per month as per Venezuelan commercial law.

4. The Musician is classified as an independent contractor for the purposes of this Purchase Order. No employer-employee relationship is created. The Musician is responsible for all applicable personal income tax obligations in Venezuela and shall provide a valid RIF for tax documentation purposes.

5. Cancellation Policy: Should Eventos Musicales Caracas, C.A. need to cancel this Purchase Order, a cancellation fee of 50% of the total amount shall apply if notice is given fewer than fourteen (14) days prior to the service date in Venezuela Caracas. Cancellations made more than fourteen days in advance shall be without penalty.

6. The Musician warrants that all musical compositions, arrangements, and recordings produced under this Purchase Order shall be original works free of any third-party intellectual property claims. The Musician grants Eventos Musicales Caracas, C.A. a perpetual, non-exclusive license to use, reproduce, and distribute the recorded performances for internal corporate and promotional purposes.

7. This Purchase Order is governed by the commercial laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas, in accordance with the rules of the Chamber of Commerce of Venezuela Caracas.

8. The Musician shall comply with all local regulations, venue policies, and safety protocols applicable to live musical performances in Venezuela Caracas. A valid professional performance permit, if required by the municipality of Chacao, Venezuela Caracas, shall be obtained at the Musician's expense prior to the event date.

IMPORTANT NOTES:
• The Musician must arrive at the venue no later than 5:30 PM on July 18, 2025, for the sound check and final rehearsal in Venezuela Caracas.
• A dedicated green room shall be provided for the Musician and ensemble members at the Centro de Convenciones Simón Bolívar.
• All payments related to this Purchase Order are subject to the current exchange rate regulations of the Central Bank of Venezuela (BCV) as of the payment date.
• The Musician is requested to submit a final invoice referencing Purchase Order No. PO-VC-2025-0487 within five (5) business days of the event.
