This Purchase Order is issued by Beijing Capital Medical Group Co., Ltd. (hereinafter referred to as the "Buyer") to Beijing Premier Nursing Services Agency Ltd. (hereinafter referred to as the "Supplier") for the procurement and placement of qualified professional Nurse personnel to support clinical and patient-care operations at the Buyer's facilities located in China Beijing. This Purchase Order governs the terms, conditions, compensation, and obligations related to the engagement of Nurse services as specified herein.

All rates are inclusive of statutory social insurance contributions (五险一金) as mandated by China Beijing labor regulations. Overtime compensation shall be calculated in accordance with the Labor Law of the People's Republic of China.

  1. Compliance with China Beijing Regulations: All Nurse personnel placed under this Purchase Order must hold a valid Nurse Practicing Certificate issued by the National Health Commission of the People's Republic of China and must be registered with the Beijing Municipal Health Commission. The Supplier warrants that all Nurse candidates meet the licensing, educational, and competency requirements established for healthcare professionals operating in China Beijing.
  2. Placement and Onboarding: The Supplier shall deliver all Nurse personnel to the Buyer's designated facility in Chaoyang District, Beijing, no later than June 28, 2025, to allow for a three-day onboarding period prior to the official commencement date of July 1, 2025. Orientation shall include facility protocols, electronic health record systems, and China Beijing-specific patient care standards.
  3. Performance Standards: Each Nurse shall adhere to the clinical practice guidelines established by the Buyer and the Beijing Municipal Health Commission. Performance reviews shall be conducted quarterly. Failure to meet competency benchmarks for two consecutive review cycles shall constitute grounds for replacement at no additional cost to the Buyer under this Purchase Order.
  4. Replacement Clause: In the event a Nurse is unable to continue service due to resignation, medical leave, or performance-related termination, the Supplier shall provide a qualified replacement Nurse within fifteen (15) business days. The replacement Nurse must meet or exceed the qualifications specified in the Itemized Purchase Order Schedule.
  5. Confidentiality and Patient Data: All Nurse personnel shall sign a Non-Disclosure Agreement (NDA) and comply with the Personal Information Protection Law of the People's Republic of China (PIPL) and all data-handling protocols of the Buyer. Patient records and clinical data accessed during the term of this Purchase Order shall remain the exclusive property of the Buyer.
  6. Payment Schedule: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices shall be submitted on the last business day of each calendar month. Payment shall be made via bank transfer to the Supplier's designated account in China Beijing. Late payments shall accrue interest at 0.05% per day as permitted under Chinese commercial law.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. The Buyer may terminate immediately for material breach, including but not limited to the Supplier's failure to provide properly licensed Nurse personnel or violation of China Beijing healthcare regulations.
  8. Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Beijing Arbitration Commission (BAC) in accordance with its then-current rules. The seat of arbitration shall be Beijing, China.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies as declared by the China Beijing municipal authorities.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Nurse services in China Beijing. This document constitutes a binding agreement upon execution by authorized representatives of both parties.

This Purchase Order (PO-BJ-2025-00472) is valid for a period of twelve (12) months from the date of execution.
