This Purchase Order is issued by Shanghai Pudong International Medical Center (hereinafter referred to as the "Buyer") to Shanghai Elite Healthcare Staffing Co., Ltd. (hereinafter referred to as the "Supplier") for the procurement of qualified Nurse professional services to be rendered at the Buyer's facility located in China Shanghai. The Supplier shall provide, deploy, and manage a team of licensed and certified Nurses in accordance with the specifications, qualifications, and operational requirements detailed in this Purchase Order and its attached schedules.

The Nurse services procured under this Purchase Order shall encompass but are not limited to: patient assessment and monitoring, administration of prescribed medications, wound care, intravenous therapy, post-operative recovery support, health education for patients and families, coordination with attending physicians, and documentation of all clinical activities in compliance with the National Health Commission of the People's Republic of China regulations governing nursing practice in China Shanghai.

All Nurse personnel deployed under this Purchase Order in China Shanghai must satisfy the following mandatory criteria:

  • Hold a valid Nurse Practicing License issued by the National Health Commission of the People's Republic of China, current and in good standing for the duration of the contract.
  • Have completed a minimum of a three-year Bachelor of Nursing (BScN) degree from an accredited institution recognized by the Ministry of Education of China.
  • Possess a minimum of three (3) years of post-licensure clinical experience in a hospital setting within China Shanghai or another major metropolitan area in China.
  • For Senior Registered Nurse positions: a minimum of seven (7) years of experience, with at least two (2) years in an Intensive Care Unit (ICU) or equivalent critical care environment.
  • Pass a comprehensive medical fitness examination and background check as required by local Shanghai municipal health authorities.
  • Demonstrate proficiency in Mandarin Chinese; English proficiency (IELTS 6.5 or equivalent) is required for positions in the International Patient Wing.
  • Complete the Supplier's proprietary Nurse onboarding and compliance training program specific to operations in China Shanghai before commencing patient-facing duties.
  • 5.1 Commencement Date: All Nurse services under this Purchase Order shall commence on 1 August 2025 at the Buyer's facility in China Shanghai, subject to completion of all onboarding and licensing verification procedures.
  • 5.2 Contract Duration: The term of this Purchase Order for Nurse services shall be twelve (12) months from the Commencement Date, renewable by mutual written agreement of both parties no later than thirty (30) days prior to expiration.
  • 5.3 Payment Schedule: Payment shall be made in quarterly installments of CNY 854,000.00, due within thirty (30) days of the end of each calendar quarter. The Supplier shall issue a formal invoice referencing this Purchase Order number (PO-SH-2025-04782) for each payment cycle.
  • 5.4 Performance Standards: The Supplier guarantees that all Nurse personnel shall maintain a minimum patient satisfaction score of 90% as measured by the Buyer's quarterly quality audits conducted in China Shanghai. Failure to meet this standard for two consecutive quarters shall constitute a material breach of this Purchase Order.
  • 5.5 Substitution of Nurse Personnel: The Supplier may substitute individual Nurse staff only with the prior written consent of the Buyer, and any replacement Nurse must meet or exceed the qualification requirements specified in Section 4 of this Purchase Order.
  • 5.6 Compliance with Local Law: The Supplier warrants that all Nurse services provided in China Shanghai shall comply with the Nurse Regulation of the People's Republic of China, the Medical Institution Administration Regulations, and all applicable Shanghai municipal health and labor laws.
  • 5.7 Insurance and Liability: The Supplier shall maintain professional indemnity insurance and employer's liability insurance covering all Nurse personnel at a minimum coverage of CNY 5,000,000 per incident, valid throughout the contract term in China Shanghai.
  • 5.8 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' written notice. Upon termination, the Buyer shall pay for all Nurse services rendered up to the effective date of termination.
  • 5.9 Confidentiality: Both parties agree to maintain strict confidentiality regarding all patient data, operational information, and commercial terms associated with this Purchase Order for Nurse services in China Shanghai, in accordance with the Personal Information Protection Law of the People's Republic of China.
  • 5.10 Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the Shanghai International Arbitration Center (SHIAC) in China Shanghai, conducted in English.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Nurse professional services in China Shanghai. This document constitutes a binding agreement upon execution by authorized representatives of both the Buyer and the Supplier.
