- Scope of Work: This Purchase Order authorizes the procurement and deployment of qualified Nurse professionals to provide direct clinical care, patient monitoring, and health education services at the Centre Hospitalier Universitaire de Kinshasa (CHUK) in Kinshasa, DR Congo. All Nurse personnel must hold valid licenses issued by the relevant DR Congo regulatory body and demonstrate proficiency in both French and Lingala to ensure effective communication with patients and colleagues.
- Delivery and Commencement: All Nurse positions referenced in this Purchase Order shall be filled and personnel shall report for duty no later than 30 days from the date of acceptance of this document. The supplier, Kinshasa Health Workforce Solutions SARL, is responsible for conducting background checks, verifying credentials, and ensuring all Nurse candidates meet the minimum qualifications specified in the line items above.
- Payment Schedule: Payment for this Purchase Order shall be made in monthly installments within 30 days of receipt of the corresponding invoice. Invoices must be submitted to the Kinshasa Medical Procurement Authority at 12 Avenue de la Paix, Gombe, Kinshasa, DR Congo, and must reference Purchase Order number KMPA-2025-00472. All payments shall be processed in Congolese Francs (CDF) via bank transfer to the supplier's designated account in Kinshasa.
- Compliance with DR Congo Law: The supplier and all Nurse personnel engaged under this Purchase Order shall comply with all applicable laws and regulations of the Democratic Republic of the Congo, including but not limited to the Labour Code of the DR Congo, the Public Health Code, and the regulations governing the practice of nursing in Kinshasa and the wider DR Congo territory. The supplier shall maintain all required insurance coverage, including professional liability insurance for each Nurse.
- Performance Standards: Each Nurse assigned under this Purchase Order shall adhere to the clinical protocols and quality standards established by CHUK Kinshasa and the Ministry of Health of the DR Congo. Monthly performance evaluations shall be conducted, and any Nurse failing to meet the established competency thresholds shall be subject to retraining or replacement at the supplier's expense within 14 days.
- Confidentiality and Data Protection: All Nurse personnel shall maintain strict confidentiality regarding patient information in accordance with DR Congo data protection regulations. No patient records, clinical notes, or personal health information collected in Kinshasa shall be disclosed to third parties without written authorization from the patient and the Kinshasa Medical Procurement Authority.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the supplier shall ensure an orderly transition of all Nurse duties to prevent disruption of patient care at CHUK Kinshasa. All outstanding invoices for services rendered up to the termination date shall be settled in full.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, the matter shall be submitted to the competent commercial court in Kinshasa, DR Congo, and governed by the laws of the Democratic Republic of the Congo.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to civil unrest, epidemics, government-imposed restrictions, or natural disasters affecting Kinshasa or the DR Congo. Affected parties shall notify the other within 5 business days and work in good faith to mitigate the impact on Nurse service delivery.
