3. SCOPE OF PURCHASE – NURSE SERVICES IN MUMBAI, INDIAThis Purchase Order is issued by Mumbai Healthcare Services Pvt. Ltd. for the procurement of qualified and registered Nurse services to be deployed across our healthcare facilities located in Mumbai, India. The Nurse personnel engaged under this Purchase Order shall be registered with the Maharashtra State Nursing Council and the Indian Nursing Council (INC), New Delhi. All Nurse services shall be rendered in compliance with the Nursing and Midwifery Act, 1911, and all applicable regulations of the Government of India and the Government of Maharashtra.

- Compliance with Indian Law: All Nurse personnel engaged under this Purchase Order shall hold valid registration with the Indian Nursing Council (INC) and the Maharashtra State Nursing Council, Mumbai, India. The Supplier shall ensure that no Nurse is deployed without a current, verifiable registration certificate.
- Place of Service: All Nurse services shall be rendered exclusively at the designated healthcare facilities of the Buyer located in Mumbai, Maharashtra, India, unless otherwise agreed in writing. Relocation of Nurse personnel to other cities within India requires a formal amendment to this Purchase Order.
- Shift and Duty Schedule: The Nurse deployment schedule, including 24/7 shift rotations, shall follow the standard Mumbai healthcare facility operating hours. Overtime beyond 12 consecutive hours shall be compensated at 1.5x the hourly rate as per the Maharashtra Shops and Establishments Act.
- Payment Schedule: Payment for Nurse services shall be made on a monthly basis within 30 days of receipt of a valid tax invoice from the Supplier. Payments shall be processed via NEFT/RTGS to the Supplier's designated bank account in Mumbai, India. All amounts are in Indian Rupees (INR).
- Quality Assurance: The Supplier shall conduct monthly performance reviews of all Nurse personnel. Any Nurse found to be underperforming or in violation of the Code of Ethics for Nurses (INC) shall be replaced within 7 working days at no additional cost to the Buyer.
- Insurance and Liability: The Supplier shall maintain comprehensive professional indemnity insurance and workers' compensation coverage for all Nurse personnel as mandated by Indian labor law. The minimum coverage shall be INR 50,00,000 per Nurse per annum.
- Confidentiality and Data Protection: All Nurse personnel shall adhere to the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023 (India). Patient records accessed in Mumbai, India facilities shall be handled in strict confidence.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Supplier shall ensure a minimum 30-day transition period for Nurse handover to avoid disruption of patient care in Mumbai, India.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
- Force Majeure: Neither party shall be liable for delays or failures in performance of Nurse services due to events beyond reasonable control, including but not limited to natural disasters affecting Mumbai, India, government-mandated lockdowns, or public health emergencies declared by the Government of India.
The Supplier shall ensure that all Nurse personnel are physically present and inducted at the respective Mumbai, India facility locations no later than 28 July 2025, three days prior to the official commencement date of 01 August 2025. A joint inspection by the Buyer's Quality Assurance team and the Supplier's Nurse Coordinator shall be conducted at each Mumbai site to verify readiness, documentation, and compliance before the first shift commences.
