This Purchase Order is issued by Meridian Healthcare Group Pte. Ltd. (hereinafter referred to as the "Buyer") to CareBridge Nursing Solutions (S) Pte. Ltd. (hereinafter referred to as the "Supplier") for the procurement of qualified Nurse services to be deployed and performed within the jurisdiction of Singapore Singapore. The Nurse services described herein are intended to support the Buyer's inpatient and outpatient clinical operations at its primary facility located at 88 Raffles Place, Singapore Singapore.

4.1 Scope of Nurse Services. The Supplier shall provide, deploy, and manage all Nurse personnel specified in Section 2 of this Purchase Order. Each Nurse assigned under this Purchase Order shall be fully qualified, registered, and licensed to practise nursing in Singapore Singapore in accordance with the Nursing and Midwifery Board (NMB) regulations and the Nursing and Midwifery Act (Cap. 203) of Singapore Singapore.
4.2 Commencement and Duration. The Nurse services shall commence on 1 July 2025 and shall continue on a rolling monthly basis for an initial contract period of twelve (12) months, subject to renewal by mutual written agreement. The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice.
4.3 Compliance with Singapore Singapore Regulations. The Supplier warrants that all Nurse personnel shall comply with all applicable laws, regulations, and professional standards governing the practice of nursing in Singapore Singapore, including but not limited to the Nursing and Midwifery Act, the Health Sciences Professions Act, and all directives issued by the Ministry of Health Singapore Singapore.
4.4 Confidentiality and Patient Data. All Nurse personnel engaged under this Purchase Order shall be bound by strict confidentiality obligations in accordance with the Personal Data Protection Act (PDPA) of Singapore Singapore. No patient information shall be disclosed to any third party without the explicit written consent of the patient or as required by law in Singapore Singapore.
4.5 Performance Standards. The Nurse personnel shall adhere to the clinical care standards, documentation requirements, and quality benchmarks established by the Buyer and as prescribed by the Accreditation Council for Healthcare in Singapore Singapore. The Supplier shall conduct monthly performance reviews of each Nurse and submit written reports to the Buyer's Clinical Governance Committee.
4.6 Insurance and Indemnity. The Supplier shall maintain comprehensive professional indemnity insurance and public liability insurance for all Nurse personnel at a minimum coverage of SGD 2,000,000 per occurrence, valid throughout the term of this Purchase Order in Singapore Singapore.
4.7 Payment Schedule. Invoices shall be submitted by the Supplier on the last working day of each calendar month. Payment shall be made by the Buyer within thirty (30) days of receipt of a valid invoice, in accordance with the payment terms stated in this Purchase Order. All payments shall be made in Singapore Dollars (SGD) via bank transfer to the account designated by the Supplier.
4.8 Dispute Resolution. Any dispute arising out of or in connection with this Purchase Order shall be resolved through mediation in Singapore Singapore in accordance with the rules of the Singapore Mediation Centre. If mediation fails, the dispute shall be referred to arbitration under the rules of the Singapore International Arbitration Centre (SIAC) in Singapore Singapore.
This Purchase Order is issued and authorised by the undersigned on behalf of the Buyer. The Supplier's acceptance of this Purchase Order shall constitute a binding agreement for the provision of the Nurse services described herein in Singapore Singapore.

This Purchase Order is governed by the laws of Singapore Singapore. All references to "Singapore Singapore" in this document denote the sovereign state and jurisdiction in which the Nurse services shall be performed and in which this Purchase Order shall be construed and enforced. This document is valid only when signed and stamped by both parties. Unauthorised reproduction or distribution of this Purchase Order is strictly prohibited.
