This Purchase Order is issued by Bangkok Metropolitan Health Services Co., Ltd. (hereinafter referred to as the "Buyer") to Siam Care Nursing & Medical Staffing Agency Co., Ltd. (hereinafter referred to as the "Supplier") for the procurement of qualified Nurse services to be deployed and rendered at the Buyer's primary facility located in Thailand Bangkok. The Nurse services described in this Purchase Order shall comply with all applicable regulations set forth by the Thai Ministry of Public Health, the Nursing Council of Thailand, and the local Bangkok Metropolitan Administration health directives.

The Buyer requires the Supplier to provide a fully licensed and registered Nurse (or team of Nurses) to deliver inpatient and outpatient clinical care, patient monitoring, medication administration, wound management, and health education services at the Buyer's hospital wing in Thailand Bangkok. The Nurse personnel must hold a valid Nursing Council of Thailand license, a minimum of three (3) years of clinical experience in a tertiary care hospital, and proficiency in both Thai and English for patient communication.

4.1 Scope of Services. The Supplier shall provide, deploy, and manage all Nurse personnel specified in this Purchase Order at the Buyer's designated facility in Thailand Bangkok. The Nurse staff shall adhere to the Buyer's internal clinical protocols, infection control standards, and patient confidentiality policies in full compliance with Thai healthcare law.

4.2 Commencement and Duration. Services under this Purchase Order shall commence on 1 July 2025 and continue on a month-to-month basis unless either party provides thirty (30) days' written notice of termination. The initial contract term is twelve (12) months, renewable by mutual written agreement.

4.3 Payment Terms. The Buyer shall remit payment within thirty (30) days from the date of invoice receipt. Invoices shall be submitted by the Supplier on the last business day of each calendar month. Payment shall be made via bank transfer to the Supplier's designated account in Thailand Bangkok. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.

4.4 Compliance and Licensing. The Supplier warrants that all Nurse personnel assigned under this Purchase Order hold current, valid licenses issued by the Nursing Council of Thailand and maintain all required certifications. The Supplier shall bear full responsibility for any regulatory non-compliance arising from the Nurse staff's credentials or conduct.

4.5 Insurance and Liability. The Supplier shall maintain professional indemnity insurance and workers' compensation coverage for all Nurse personnel at a minimum coverage of THB 5,000,000 per incident. The Supplier shall indemnify and hold harmless the Buyer against any claims arising from the negligence or malpractice of the Nurse staff.

4.6 Termination for Cause. Either party may terminate this Purchase Order immediately upon written notice if the other party commits a material breach, including but not limited to the Nurse personnel's failure to meet clinical competency standards, repeated disciplinary violations, or loss of professional licensure.

4.7 Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising hereunder shall be resolved through arbitration in Bangkok in accordance with the rules of the Thai Arbitration Institute.

4.8 Confidentiality. Both parties agree to maintain strict confidentiality regarding patient records, proprietary clinical data, and the financial terms of this Purchase Order. The Nurse personnel shall be bound by non-disclosure agreements prior to commencing duties in Thailand Bangkok.

The Supplier shall ensure that all Nurse personnel are physically present and ready to commence duties at the Buyer's Thailand Bangkok facility no later than 07:00 hours on the agreed commencement date. The Buyer's Director of Nursing shall conduct a final acceptance inspection, verifying credentials, uniforms, equipment, and orientation completion before signing the acceptance certificate. Services shall be deemed accepted upon the Buyer's written confirmation within five (5) business days of commencement.

This Purchase Order is hereby authorized and executed by the undersigned representatives of both parties, confirming mutual agreement to all terms, conditions, pricing, and service obligations outlined herein for the provision of Nurse services in Thailand Bangkok.
