1. SCOPE OF PURCHASE ORDER

This Purchase Order is issued by Caracas Health Services Consortium, C.A. to formally request and authorize the procurement of qualified Nurse services and associated clinical support resources for deployment at our primary medical facility located in Venezuela Caracas. This Purchase Order covers the recruitment, onboarding, and continuous professional engagement of registered Nurse professionals who will provide direct patient care, clinical monitoring, and therapeutic interventions across multiple departments of our hospital network in Venezuela Caracas. The Nurse personnel engaged under this Purchase Order must hold valid licensure issued by the Colegio de Médicos del Estado Miranda and the relevant Venezuelan regulatory bodies governing nursing practice in the region.

3. DELIVERY AND DEPLOYMENT DETAILS

All Nurse personnel procured under this Purchase Order shall be physically deployed and reporting to the Caracas Health Services Consortium main campus situated at Av. Francisco de Miranda, Chacao, Venezuela Caracas. The vendor, Andes Medical Staffing Solutions, C.A., is responsible for ensuring that each Nurse arrives at the Venezuela Caracas facility no later than the Required Delivery Date stated above, fully credentialed, medically cleared, and ready to commence clinical duties. The vendor shall coordinate all logistics, including local transportation within Venezuela Caracas, temporary housing arrangements for Nurse personnel arriving from other Venezuelan states, and initial facility orientation. Any delays in Nurse deployment beyond the stipulated date shall be subject to a penalty of 1.5% of the total Purchase Order value per calendar day of delay, as per Venezuelan commercial contract law applicable in Venezuela Caracas.

4. TERMS AND CONDITIONS
  1. This Purchase Order is governed by the commercial and labor laws of the Bolivarian Republic of Venezuela, with specific application to healthcare staffing regulations in Venezuela Caracas. All disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas in accordance with the Venezuelan Arbitration Law.
  2. The vendor warrants that every Nurse placed under this Purchase Order holds a current, unexpired professional license, has completed a minimum of four (4) years of clinical experience, and has passed all required background checks mandated by Venezuelan authorities for healthcare workers in Venezuela Caracas.
  3. Payment for this Purchase Order shall be made in United States Dollars (USD) via wire transfer to the vendor's designated account in Venezuela Caracas. The first installment of 40% shall be due upon successful onboarding of all Nurse personnel. The remaining 60% shall be paid in three equal monthly installments over the first three months of active Nurse service.
  4. The vendor shall maintain a replacement guarantee: should any Nurse resign, be terminated, or become medically unable to perform duties within the first six (6) months of this Purchase Order, the vendor shall provide a qualified replacement Nurse at no additional cost within fifteen (15) business days.
  5. All Nurse personnel engaged under this Purchase Order shall be subject to the internal policies, code of conduct, and patient confidentiality protocols of Caracas Health Services Consortium, C.A., as well as all applicable Venezuelan healthcare regulations in force in Venezuela Caracas at the time of engagement.
  6. This Purchase Order is valid for a period of ninety (90) days from the date of issue. If the vendor does not accept this Purchase Order within the validity period, a new Purchase Order must be issued.
  7. Taxes, social security contributions (IVSS), and any applicable Venezuelan statutory deductions for Nurse employment shall be handled in accordance with Venezuelan labor law. The vendor is responsible for all employer-side statutory obligations for the Nurse personnel placed under this Purchase Order.
5. AUTHORIZATION AND ACCEPTANCE

By signing below, the undersigned parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Nurse services in Venezuela Caracas. This document constitutes a binding commercial agreement between the parties upon execution.
