This Purchase Order is issued by Instituto de Rehabilitación Neuromuscular del Sur S.A. to formally engage the services of a qualified Occupational Therapist for the provision of specialized rehabilitation and therapeutic interventions. The Occupational Therapist shall deliver clinical services in accordance with the professional standards established by the Colegio de Matriculados en Terapia Ocupacional de la Ciudad de Buenos Aires and the regulatory framework of the Argentine Ministry of Health. All services rendered under this Purchase Order shall be performed at the facility located in Buenos Aires, Argentina, or at such other locations within the City of Buenos Aires as mutually agreed upon in writing by both parties.

The Occupational Therapist shall commence services on 1 July 2025 and shall continue to provide the contracted services through 30 June 2026, constituting a twelve (12) month engagement period. Services shall be rendered Monday through Friday, between the hours of 08:00 and 20:00, at the primary facility in Buenos Aires, Argentina. The Occupational Therapist is expected to dedicate a minimum of 40 hours per week to the services outlined in this Purchase Order. Any extension beyond the initial term shall require a written amendment to this Purchase Order signed by both parties no later than thirty (30) days prior to the expiration date.
- Compliance with Argentine Law: The Occupational Therapist shall perform all duties in strict compliance with the Argentine National Health Law (Ley 26.529), the professional regulations of the City of Buenos Aires, and all applicable labor and tax legislation of the Republic of Argentina. The Occupational Therapist warrants that they hold a valid professional matriculation (MAT) and shall maintain it in good standing throughout the duration of this Purchase Order.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day of the following month. Payment shall be made via electronic bank transfer (transferencia bancaria) to the account designated by the Occupational Therapist within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate established by the Banco Central de la República Argentina (BCRA) for overdue commercial obligations.
- Confidentiality and Patient Data: The Occupational Therapist shall comply with all provisions of Argentine Law 25.326 on Personal Data Protection (Ley de Protección de los Datos Personales). All patient records, clinical notes, and personal information accessed during the performance of this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without written authorization from the patient or their legal representative.
- Professional Liability Insurance: The Occupational Therapist shall maintain, at their own expense, a professional liability insurance policy (seguro de responsabilidad civil profesional) with a minimum coverage of ARS 50,000,000, valid throughout the service period in Buenos Aires, Argentina. A certificate of insurance shall be provided to the Purchasing Entity prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach, termination may be effected with fifteen (15) days written notice. Upon termination, the Occupational Therapist shall complete all in-progress patient evaluations and provide a comprehensive handover report within ten (10) business days.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through binding arbitration in the City of Buenos Aires, Argentina, in accordance with the rules of the Cámara de Comercio de Buenos Aires. The governing law shall be the laws of the Argentine Republic.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government decrees, or civil unrest affecting the City of Buenos Aires or the Province of Buenos Aires, Argentina.
- Intellectual Property: All treatment protocols, assessment tools, and clinical documentation developed specifically for the Purchasing Entity under this Purchase Order shall remain the property of the Purchasing Entity. The Occupational Therapist retains ownership of pre-existing methodologies and general professional knowledge.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Occupational Therapist services in Buenos Aires, Argentina. This document shall be governed by and construed in accordance with the laws of the Argentine Republic. This Purchase Order is executed in two (2) original copies, one for each party, both having equal legal validity.
