3. Scope of Purchase Order — Occupational Therapist Services
This Purchase Order is issued by Harbourview Allied Health Group Pty Ltd to Meridian Occupational Therapy Services (Aust.) Pty Ltd for the engagement of a qualified Occupational Therapist to deliver inpatient and outpatient rehabilitation services at the buyer's facility located in Australia Sydney. The Occupational Therapist shall be a registered practitioner with the Occupational Therapy Board of Australia, holding current AHPRA registration, and shall operate in full compliance with the Health Services Act 1991 (NSW) and all applicable Australian Standards for allied health service delivery.
The services described in this Purchase Order are intended to support patients recovering from neurological injury, orthopaedic surgery, and age-related functional decline. The Occupational Therapist will conduct individualised assessments, develop and implement treatment plans, provide adaptive equipment recommendations, and deliver group-based functional training programmes within the Australia Sydney metropolitan service area.

5. Delivery & Commencement Details
All Occupational Therapist services under this Purchase Order shall commence on 1 July 2025 at the buyer's primary facility in Australia Sydney (285 George Street, NSW 2000). The supplier shall ensure that the assigned Occupational Therapist is on-site and fully operational within five (5) business days of the commencement date. Any delay in commencement must be communicated to the buyer's Procurement Manager in writing no fewer than ten (10) business days prior to the scheduled start date.
6. Terms & Conditions of This Purchase Order
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be resolved in the courts of Australia Sydney.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law.
- Professional Registration: The Occupational Therapist engaged under this Purchase Order must maintain active registration with the Occupational Therapy Board of Australia throughout the contract term. The supplier shall provide evidence of registration upon request.
- Insurance: The supplier shall maintain Professional Indemnity Insurance of no less than AUD $10,000,000 and Public Liability Insurance of no less than AUD $20,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided prior to commencement.
- Confidentiality & Privacy: All patient information handled by the Occupational Therapist shall be protected in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Breach of confidentiality shall constitute material breach of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with ninety (90) days' written notice. The buyer may terminate immediately for material breach, including but not limited to the Occupational Therapist's loss of AHPRA registration or failure to meet clinical governance standards.
- Compliance: The supplier and the Occupational Therapist shall comply with all applicable Australian and New South Wales legislation, including the Health Services Act 1991 (NSW), the Disability Discrimination Act 1992 (Cth), and the Work Health and Safety Act 2011 (NSW).
- Performance Review: Quarterly performance reviews of the Occupational Therapist's service delivery shall be conducted jointly by the buyer's Clinical Director and the supplier's Principal Occupational Therapist at the Australia Sydney facility.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Australia Sydney region, pandemics, or government-mandated service restrictions.
- Entire Agreement: This Purchase Order, together with any attached schedules and the supplier's accepted quotation, constitutes the entire agreement between the parties regarding the engagement of Occupational Therapist services in Australia Sydney.
7. Authorisation & Acceptance
This Purchase Order is issued and authorised by the undersigned on behalf of Harbourview Allied Health Group Pty Ltd. Acceptance of this Purchase Order by the supplier constitutes full agreement to all terms, conditions, and service specifications outlined herein.
