- Scope of Engagement: The Seller shall assign qualified, licensed Occupational Therapist professionals to the Buyer's facility in China Beijing for the duration specified in this Purchase Order. Each Occupational Therapist must hold a valid practicing certificate issued by the China Beijing Municipal Health Commission and a national-level occupational therapy qualification recognized by the Chinese Association of Rehabilitation Medicine.
- Service Location: All clinical services, assessments, and therapeutic interventions shall be performed exclusively at the Buyer's premises in China Beijing unless otherwise agreed in writing. The Occupational Therapist is not authorized to relocate services to any other jurisdiction without prior written consent from the Buyer.
- Payment Terms: Payment shall be made in quarterly installments of CNY 95,638.50 (inclusive of VAT) within thirty (30) calendar days of the Buyer's receipt of a valid invoice from the Seller. Payment shall be processed via bank transfer to the Seller's designated account in China Beijing. Late payments shall accrue interest at 0.05% per day as stipulated under the Civil Code of the People's Republic of China.
- Performance Standards: The Occupational Therapist shall maintain a minimum patient satisfaction score of 85% as measured by the Buyer's internal quality assurance program. Failure to meet this standard for two consecutive quarters shall entitle the Buyer to terminate this Purchase Order with thirty (30) days' written notice.
- Confidentiality & Data Protection: The Seller and the assigned Occupational Therapist shall comply with the Personal Information Protection Law of the People's Republic of China and all applicable China Beijing municipal data-handling regulations. Patient records and clinical data shall remain the exclusive property of the Buyer.
- Insurance & Liability: The Seller shall maintain professional indemnity insurance of no less than CNY 2,000,000 per claim covering all Occupational Therapist activities conducted in China Beijing. The Seller assumes full liability for any malpractice or negligence arising from the Occupational Therapist's clinical decisions.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Occupational Therapist shall return all proprietary materials, equipment, and patient records to the Buyer within seven (7) business days.
- Governing Law & Dispute Resolution: This Purchase Order shall be governed by the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the Beijing Arbitration Commission (BAC) in China Beijing, in accordance with its then-current rules. The language of arbitration shall be Chinese.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in China Beijing, or public health emergencies, provided that the affected party notifies the other within five (5) business days.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. All amendments must reference the original Purchase Order number PO-CB-2025-04782.
The Occupational Therapist shall report for duty at the Buyer's facility in China Beijing no later than July 1, 2025. A two-week orientation period covering the Buyer's electronic health record system, institutional protocols, and China Beijing-specific regulatory requirements shall precede the commencement of independent clinical practice. The Seller is responsible for arranging all necessary work permits, health clearances, and professional registration updates required for the Occupational Therapist to practice legally in China Beijing.
