This Purchase Order is issued by Coastal Medical & Rehabilitation Center, Egypt Alexandria, to formally engage the services of a qualified Occupational Therapist for the provision of comprehensive occupational therapy programs to inpatients, outpatients, and community referral clients. The Occupational Therapist shall deliver evidence-based interventions targeting motor function restoration, cognitive rehabilitation, adaptive equipment training, and psychosocial reintegration for patients aged 3 to 85 years. All services rendered under this Purchase Order shall be conducted within the facilities located in Egypt Alexandria and shall comply with the regulations set forth by the Egyptian Ministry of Health and Population and the Alexandria Governorate Health Directorate.

The Occupational Therapist engaged under this Purchase Order must satisfy the following minimum qualifications:
- Master's degree in Occupational Therapy from an accredited Egyptian or internationally recognized university (e.g., Alexandria University, Cairo University, or equivalent).
- Valid professional license issued by the Egyptian Syndicate of Occupational Therapists, current as of the date of this Purchase Order.
- Minimum of five (5) years of post-qualification clinical experience in neurological, pediatric, and orthopedic rehabilitation.
- Demonstrated familiarity with the Egyptian National Health Insurance System (EHNIS) documentation and billing requirements applicable in Egypt Alexandria.
- Fluency in Arabic (written and spoken) and professional proficiency in English for patient education and international reporting.
- Completion of a certified first-aid and cardiopulmonary resuscitation (CPR) course valid within the preceding 24 months.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, with jurisdiction vested in the competent courts of Egypt Alexandria.
- Confidentiality: The Occupational Therapist shall maintain strict confidentiality of all patient records in compliance with Egyptian Law No. 176 of 2018 on the Protection of Personal Data. All clinical documentation shall be stored on the facility's encrypted server located in Egypt Alexandria.
- Performance Standards: The Occupational Therapist shall adhere to the World Federation of Occupational Therapists (WFOT) practice standards and the Egyptian Ministry of Health clinical guidelines. Failure to meet agreed-upon patient outcome metrics for two consecutive months may result in a formal performance review.
- Insurance: The Occupational Therapist shall maintain professional indemnity insurance with a minimum coverage of EGP 2,000,000 per claim, naming Coastal Medical & Rehabilitation Center as an additional insured party.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, termination may be effected with seven (7) days' notice. All fees for services rendered up to the termination date shall be settled within 30 days.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within 30 days, the matter shall be referred to arbitration under the rules of the Egyptian Arbitration Center, with the seat of arbitration in Egypt Alexandria.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures in Egypt Alexandria, natural disasters, or public health emergencies declared by the Egyptian authorities.
Invoices shall be submitted monthly by the 5th of the following month. Payment of 100% of the invoiced amount shall be made via bank transfer to the Occupational Therapist's designated account within thirty (30) calendar days of receipt of a valid invoice. A 2% monthly late-payment interest shall apply to overdue balances in accordance with Egyptian commercial law. The total contract value of EGP 931,000.00 is subject to adjustment only through a written amendment to this Purchase Order signed by both parties.
Important Note: All services under this Purchase Order are to be delivered exclusively at the Coastal Medical & Rehabilitation Center premises in Smouha, Egypt Alexandria, or at approved home-visit locations within the Alexandria Governorate as specified in Line Item 3. The Occupational Therapist is not authorized to sublet or delegate any portion of the contracted services without prior written consent from the issuing organization.By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and service specifications outlined in this Purchase Order. This document constitutes a binding agreement for the procurement of Occupational Therapist professional services in Egypt Alexandria for the duration stated herein.
