1. Scope of Purchase OrderThis Purchase Order is issued by CareWell Rehabilitation Centre Pvt. Ltd., India Bangalore, to TherapLink Professional Services LLP for the engagement of a qualified and certified Occupational Therapist to provide specialized therapeutic services at our facility located in India Bangalore. The Occupational Therapist shall be responsible for assessing, planning, and delivering individualized therapy programs to patients recovering from neurological conditions, orthopedic injuries, developmental disabilities, and age-related functional decline. This Purchase Order governs all terms, conditions, deliverables, and financial obligations associated with the Occupational Therapist engagement for the specified contract period.

3.1 This Purchase Order is valid for a period of ninety (90) calendar days from the date of issue. The Supplier must acknowledge and accept this Purchase Order in writing within seven (7) business days, failing which this Purchase Order shall be deemed withdrawn.
3.2 The Occupational Therapist(s) engaged under this Purchase Order must hold valid registration with the Indian Occupational Therapy Association (IOTA) and must present original certificates for verification at the India Bangalore facility prior to commencing duties.
3.3 Payment terms: 50% advance upon acceptance of this Purchase Order, followed by monthly post-dated cheques or NEFT transfers within fifteen (15) days of the end of each calendar month. The final 10% retention shall be released upon successful completion of the 12-month contract period.
3.4 The Occupational Therapist shall adhere to all clinical protocols, patient confidentiality guidelines (as per the Digital Personal Data Protection Act, 2023), and institutional policies of CareWell Rehabilitation Centre, India Bangalore.
3.5 The Supplier shall bear all statutory obligations including Professional Tax, EPF, ESI, and applicable labour laws as mandated in the state of Karnataka, India Bangalore.
3.6 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In case of gross professional misconduct by the Occupational Therapist, immediate termination is permitted without notice.
3.7 Disputes arising from this Purchase Order shall be resolved through arbitration in India Bangalore in accordance with the Arbitration and Conciliation Act, 1996. The jurisdiction of courts in India Bangalore shall be exclusive.
3.8 The Occupational Therapist shall submit monthly progress reports detailing patient assessments, therapy plans, and outcome metrics to the Head of Rehabilitation at the India Bangalore facility by the 5th of each subsequent month.
4. Acceptance & AuthorizationBy signing below, both parties confirm their agreement to all terms specified in this Purchase Order for the engagement of Occupational Therapist services in India Bangalore. This document constitutes a legally binding agreement between the Buyer and the Supplier for the duration stated herein.
