This Purchase Order is issued by Al-Rafidain Medical & Rehabilitation Center for the engagement of a qualified Occupational Therapist to deliver comprehensive therapeutic services at the facility located in Iraq Baghdad. The Occupational Therapist shall be responsible for the assessment, planning, and delivery of individualized and group-based occupational therapy programs for patients recovering from neurological injuries, orthopedic conditions, pediatric developmental disorders, and post-surgical rehabilitation. The scope of services includes but is not limited to: functional capacity evaluations, adaptive equipment training, fine and gross motor skill development, cognitive rehabilitation exercises, and community reintegration planning. The Occupational Therapist must hold a recognized degree in Occupational Therapy, valid professional licensure, and a minimum of five (5) years of clinical experience in a hospital or rehabilitation setting. All services shall be rendered in accordance with the standards set by the Iraqi Ministry of Health and the International Association of Occupational Therapists (IAOT).

4. TERMS AND CONDITIONS
  1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the provision of Occupational Therapist services in Iraq Baghdad. Both parties agree to comply with all applicable laws of the Republic of Iraq, including the Iraqi Labor Law and the Ministry of Health regulations governing allied health professionals.
  2. The Occupational Therapist engaged under this Purchase Order shall maintain full professional liability insurance with a minimum coverage of USD 500,000 per occurrence, valid throughout the duration of the contract.
  3. Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice and the corresponding monthly progress report. All payments shall be processed via bank transfer to the account designated by the Seller.
  4. The Seller guarantees that the Occupational Therapist assigned to this Purchase Order shall not be reassigned or substituted without the prior written consent of the Buyer. Any proposed replacement must meet or exceed the qualifications specified in Section 2.
  5. All patient records, treatment plans, and clinical data generated during the course of services in Iraq Baghdad shall remain the exclusive property of the Buyer and shall be handled in strict accordance with Iraqi data protection regulations.
  6. Either party may terminate this Purchase Order with thirty (30) days written notice in the event of material breach. In the case of early termination, the Buyer shall compensate the Seller for services rendered up to the termination date.
  7. Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to arbitration under the rules of the Iraqi Center for Arbitration in Baghdad.
  8. The Seller shall ensure that the Occupational Therapist complies with all health and safety protocols at the Al-Rafidain facility, including infection control procedures, emergency response training, and workplace safety standards applicable in Iraq Baghdad.
  9. Any amendments to this Purchase Order must be documented in a written addendum signed by both parties. Verbal modifications shall not be enforceable.
5. DELIVERY AND COMMENCEMENT

The Occupational Therapist shall commence duties no later than 1 July 2025 at the Al-Rafidain Medical & Rehabilitation Center, Al-Mansour District, Iraq Baghdad. The Seller shall provide the Buyer with the Occupational Therapist's complete professional portfolio, licensure certificates, and references no less than fourteen (14) days prior to the commencement date. The Buyer reserves the right to conduct a final verification interview with the Occupational Therapist prior to the start of services.
