1. SCOPE OF PURCHASE ORDER

This Purchase Order is issued by the Kyoto Metropolitan Rehabilitation & Wellness Center (hereinafter referred to as the "Buyer") to Shinano Occupational Therapy Group Co., Ltd. (hereinafter referred to as the "Supplier") for the provision of qualified Occupational Therapist professional services within the Japan Kyoto metropolitan area. The Occupational Therapist services described herein are intended to support the Buyer's inpatient and outpatient rehabilitation programs, including but not limited to post-surgical recovery, neurological rehabilitation, pediatric developmental therapy, and geriatric functional restoration. All Occupational Therapist personnel assigned under this Purchase Order must hold valid licensure issued by the Japanese Ministry of Health, Labour and Welfare and must possess a minimum of five (5) years of clinical experience in the relevant therapeutic specialty.

3. TERMS AND CONDITIONS

3.1 Service Period: The Occupational Therapist services under this Purchase Order shall commence on July 1, 2025, and continue through December 31, 2025, unless terminated earlier in accordance with Section 3.5. All services shall be rendered at the Buyer's primary facility located in Higashiyama-ku, Japan Kyoto, or at such other Japan Kyoto locations as mutually agreed upon in writing.

3.2 Qualification Requirements: Every Occupational Therapist assigned to this contract must present a current Japanese Occupational Therapist license (Shokugyou Ryoho Shishi) and proof of malpractice insurance with a minimum coverage of 100,000,000 JPY per incident. The Supplier shall provide copies of all licenses to the Buyer's procurement office prior to the first day of service.

3.3 Payment Schedule: Invoices shall be submitted monthly by the 5th business day following the end of each calendar month. Payment shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Japanese commercial practice.

3.4 Performance Standards: The Supplier guarantees that the Occupational Therapist team shall maintain a minimum patient satisfaction score of 85% as measured by the Buyer's quarterly quality assessment. Failure to meet this standard for two consecutive quarters shall constitute a material breach of this Purchase Order.

3.5 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. The Buyer may terminate immediately for cause, including but not limited to gross negligence, loss of licensure by any Occupational Therapist, or failure to comply with Japanese healthcare regulations applicable to the Japan Kyoto region.

3.6 Confidentiality: All patient records, clinical data, and proprietary treatment protocols accessed by the Occupational Therapist personnel in the course of this Purchase Order shall be treated as strictly confidential in accordance with the Japanese Act on the Protection of Personal Information (APPI) and the Buyer's internal data governance policies.

3.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising hereunder shall be resolved through arbitration in Japan Kyoto under the rules of the Japan Commercial Arbitration Association.

4. SPECIAL INSTRUCTIONS AND NOTES

Note 1: All Occupational Therapist staff must complete the Buyer's on-site orientation and safety briefing within the first three (3) business days of commencing service at the Japan Kyoto facility. This includes emergency evacuation procedures specific to the Kyoto Metropolitan Rehabilitation & Wellness Center building.

Note 2: The Supplier shall provide a replacement Occupational Therapist within forty-eight (48) hours in the event of any assigned therapist's absence due to illness, leave, or other unavailability. The replacement must meet or exceed the qualifications specified in Section 3.2.

Note 3: Therapeutic equipment listed in Line Item 6 shall be delivered, installed, and calibrated at the Japan Kyoto facility no later than June 28, 2025. The Supplier is responsible for all shipping, handling, and initial setup costs.

Note 4: This Purchase Order is subject to approval by the Buyer's Board of Directors. No services shall commence until the Buyer issues a written Notice to Proceed.
