This Purchase Order is issued by Tokyo Metropolitan Rehabilitation & Wellness Center to formally procure the professional services of a licensed Occupational Therapist to be deployed at our facility located in Japan Tokyo. The Occupational Therapist shall provide comprehensive therapeutic interventions, patient assessments, rehabilitation program design, and clinical supervision in accordance with the standards set by the Japanese Ministry of Health, Labour and Welfare (MHLW) and the Japanese Association of Occupational Therapists (JAOT).
The Occupational Therapist engaged under this Purchase Order must hold a valid national license issued in Japan Tokyo and possess a minimum of five (5) years of post-licensure clinical experience in adult and pediatric rehabilitation. All services shall be rendered at the buyer's premises in Shinjuku-ku, Japan Tokyo, during standard business hours (08:30–17:30 JST, Monday through Friday), with occasional Saturday availability as mutually agreed upon.

- Scope of Services: The Occupational Therapist shall deliver all clinical and non-clinical services as outlined in this Purchase Order. Any additional services beyond the stated scope require a written amendment to this Purchase Order signed by both parties.
- Licensing & Compliance: The Occupational Therapist must maintain an active license to practice in Japan Tokyo throughout the contract period. The service provider shall furnish proof of licensure, malpractice insurance (minimum 100 million JPY coverage), and compliance with all Tokyo Metropolitan Board of Education and MHLW regulations prior to the start date.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment for this Purchase Order shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at 1.5% per month as stipulated under Japanese commercial law.
- Performance Standards: The Occupational Therapist is expected to maintain a patient satisfaction rating of no less than 90% as measured by quarterly surveys conducted at the Japan Tokyo facility. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order with 30 days' written notice.
- Confidentiality: All patient records, clinical data, and proprietary treatment methodologies accessed by the Occupational Therapist in Japan Tokyo shall be treated as strictly confidential in accordance with Japan's Act on the Protection of Personal Information (APPI) and the buyer's internal data governance policies.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. All services rendered up to the termination date shall be invoiced and paid in full.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Japan Commercial Arbitration Association (JCAA) seated in Japan Tokyo.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, government mandates, or other events beyond reasonable control, particularly those affecting operations in Japan Tokyo.
- Intellectual Property: All treatment protocols, assessment tools, and program designs developed specifically for the buyer's Japan Tokyo facility under this Purchase Order shall remain the property of the buyer. The Occupational Therapist retains rights to pre-existing methodologies.
- Amendments: This Purchase Order may only be amended in writing, signed and dated by authorized representatives of both parties. Verbal modifications are not valid.
