  1. This Purchase Order constitutes a binding agreement between Kenya Nairobi Health & Rehabilitation Services Ltd. (hereinafter referred to as "the Employer") and the named Occupational Therapist (hereinafter referred to as "the Service Provider") for the provision of occupational therapy services within the Kenya Nairobi region.
  2. The Occupational Therapist shall maintain valid professional registration with the Kenya Allied Health Professions Council (KAHPC) and shall provide proof of registration upon commencement of services. Any lapse in registration shall result in immediate suspension of this Purchase Order.
  3. All services shall be rendered in accordance with the Occupational Therapy Practice Framework as adopted by the Kenya Ministry of Health and in compliance with the National Occupational Therapy Standards applicable in Kenya Nairobi.
  4. The Service Provider shall carry a minimum of KES 5,000,000 in professional indemnity insurance coverage for the duration of this Purchase Order, with the Employer named as an additional insured party.
  5. Payment shall be processed within thirty (30) calendar days from the date of invoice submission. Invoices must include a detailed breakdown of hours worked, patient caseload, and any home visit locations within Kenya Nairobi. Late payments shall attract interest at the rate of 2% per month as stipulated under the Kenyan Interest Act.
  6. The Occupational Therapist shall submit monthly progress reports to the Employer's Clinical Director by the 5th business day of each month. These reports shall include patient outcomes, caseload statistics, and recommendations for service improvement within the Kenya Nairobi facility.
  7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause, the terminating party must provide a detailed written explanation of the breach.
  8. All patient records, clinical notes, and confidential information generated during the course of this engagement shall remain the property of Kenya Nairobi Health & Rehabilitation Services Ltd. and shall be handled in strict compliance with the Kenya Data Protection Act, 2019.
  9. The Occupational Therapist shall comply with all applicable Kenyan labor laws, tax obligations (including PAYE and NHIF/SHIF contributions where applicable), and professional ethical codes as governed by the KAHPC.
  10. Any disputes arising from this Purchase Order shall be resolved through mediation in Kenya Nairobi, and failing mediation, through arbitration under the Arbitration Act, Cap 49 of the Laws of Kenya.
  11. This Purchase Order is subject to the laws of the Republic of Kenya. All communications and documentation shall be conducted in English.

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Occupational Therapist in Kenya Nairobi.
