This Purchase Order is issued by Rehabilitación Integral del Valle, S.A. de C.V. (hereinafter referred to as the "Purchasing Entity") to Clínica Terapéutica del Centro, S.A. de C.V. (hereinafter referred to as the "Service Provider") for the provision of specialized Occupational Therapist services. This Purchase Order governs the engagement of a qualified Occupational Therapist to deliver comprehensive therapeutic interventions, assessments, and rehabilitation programs to patients under the care of the Purchasing Entity. All services described in this Purchase Order shall be rendered exclusively within the geographic jurisdiction of Mexico Mexico City, in strict compliance with the regulations established by the Mexican Ministry of Health (Secretaría de Salud) and the applicable professional standards for Occupational Therapist practice in the Mexican healthcare system.

4.1 This Purchase Order is binding upon acceptance by the Service Provider and shall remain in effect for the duration specified in Section 3. All Occupational Therapist personnel assigned under this Purchase Order must hold a valid professional license issued by the Mexican Ministry of Health and must maintain current registration with the Colegio de Terapeutas Ocupacionales de México.

4.2 All Occupational Therapist services shall be performed at the designated clinical facilities located in Mexico Mexico City, or at the patient's residence for home-visit programs, as specified in the line items above. The Service Provider is responsible for ensuring that all Occupational Therapist staff comply with the data protection laws of Mexico (Ley Federal de Protección de Datos Personales en Posesión de los Particulares) when handling patient records.

4.3 Payment terms: Net 30 days from the date of invoice submission. Invoices must be issued in Mexican Pesos (MXN) and must include the applicable 16% IVA. Payment shall be made via bank transfer to the account designated by the Service Provider in Mexico Mexico City.

4.4 The Service Provider guarantees that the Occupational Therapist assigned to each program meets the minimum qualifications stated in this Purchase Order. Substitution of the Occupational Therapist requires prior written approval from the Purchasing Entity's Director of Clinical Operations.

4.5 Cancellation or modification of this Purchase Order must be communicated in writing at least fifteen (15) business days in advance. Early termination may be subject to a penalty of 10% of the remaining contract value.

4.6 This Purchase Order is governed by the commercial laws of the United Mexican States, with jurisdiction vested in the courts of Mexico Mexico City for any disputes arising from its execution.

This Purchase Order was prepared in accordance with the internal procurement policies of Rehabilitación Integral del Valle, S.A. de C.V. and the regulatory framework for Occupational Therapist services in Mexico Mexico City. The Service Provider acknowledges that all Occupational Therapist interventions must be documented in the patient's electronic health record within 24 hours of each session.
