3. Description of Goods and Services

This Purchase Order is issued by the Lagos State Rehabilitation & Wellness Centre to procure the professional services of a qualified Occupational Therapist along with associated therapeutic equipment and materials required for the delivery of occupational therapy programmes within the Nigeria Lagos metropolitan area. The Occupational Therapist engaged under this Purchase Order shall be a registered practitioner with the Nigerian Association of Occupational Therapists (NAOT) and shall possess a minimum of five (5) years of post-qualification clinical experience in paediatric and adult rehabilitation settings.

4. Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplying Party for the provision of Occupational Therapist services and associated equipment at the designated facility in Nigeria Lagos.
  2. The Occupational Therapist shall commence duties no later than 1 August 2025 and shall report directly to the Head of Rehabilitation Services at the Lagos State Rehabilitation & Wellness Centre.
  3. All therapeutic services shall be delivered in compliance with the standards set by the Nigerian Association of Occupational Therapists (NAOT) and the National Health Act, 2014, as applicable in Nigeria Lagos.
  4. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Payment shall be processed via bank transfer to the account designated by the Supplying Party.
  5. The Supplying Party warrants that the Occupational Therapist engaged under this Purchase Order holds a valid practising licence, current professional indemnity insurance (minimum coverage of NGN 50,000,000), and a clean criminal background check as required for healthcare practitioners in Nigeria Lagos.
  6. All equipment and materials listed in this Purchase Order shall be delivered to the Nigeria Lagos facility within fourteen (14) days of the Purchase Order date. Risk of loss transfers to the Purchasing Party upon delivery and acceptance at the site.
  7. The Purchasing Party reserves the right to audit the Occupational Therapist’s clinical records, treatment plans, and patient progress reports on a quarterly basis to ensure compliance with the scope defined in this Purchase Order.
  8. Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Supplying Party shall be compensated for services rendered up to the effective date of termination.
  9. This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
  10. All personal data of patients handled by the Occupational Therapist shall be protected in accordance with the Nigeria Data Protection Act, 2023, and the facility’s internal data governance policies.
5. Delivery and Acceptance

All goods and services under this Purchase Order shall be delivered to the Nigeria Lagos facility at 14 Adeola Odeku Street, Victoria Island, Lagos. The Purchasing Party shall have seven (7) business days from the date of delivery to inspect and accept or reject the goods. The Occupational Therapist services shall be deemed accepted upon the commencement of the first clinical session, provided the practitioner meets all qualification and registration requirements stipulated herein.
