This Purchase Order is issued by Clínica Rehabilitación Madrid S.L. (hereinafter referred to as the "Buyer") to formally request and authorize the provision of specialized Occupational Therapist services to be rendered at the Buyer's clinical facilities located in the city of Madrid, Spain. The services described herein are intended to support the rehabilitation and functional recovery of patients admitted to the Buyer's outpatient and inpatient rehabilitation programmes during the period specified in Section 3 of this document.

All Occupational Therapist services procured under this Purchase Order shall be performed exclusively at the Buyer's premises located at Calle de Serrano, 142, 28006 Madrid, Spain, or at such other clinical sites within the Community of Madrid as may be mutually agreed in writing. The Occupational Therapist shall comply with all applicable regulations issued by the Comunidad de Madrid's health authority (Consejería de Sanidad) and the professional code of ethics established by the Colegio Oficial de Terapeutas Ocupacionales de Madrid. The Occupational Therapist is required to maintain valid professional liability insurance with a minimum coverage of 300,000 EUR throughout the duration of this contract.
The services shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, concluding on 31 July 2026, unless terminated earlier in accordance with the terms set forth in Section 5. The Occupational Therapist shall be available for clinical duties on Monday through Friday, between the hours of 08:00 and 20:00, with a minimum of 35 hours per week dedicated to direct patient care and related clinical documentation. Any additional hours or weekend coverage shall be subject to a separate written amendment to this Purchase Order.
Payment for the services rendered under this Purchase Order shall be made on a monthly basis. The Occupational Therapist shall submit an itemized invoice to the Buyer's accounts payable department by the 5th business day of the following month. Payment shall be processed via direct bank transfer (SEPA) to the account designated by the Occupational Therapist within thirty (30) calendar days of receipt of a valid and correct invoice. Late payments shall accrue interest at the rate established by the Spanish Ley 3/2004 de 29 de diciembre de lucha contra la morosidad en las operaciones comerciales. All amounts are expressed in Euros (EUR) and are subject to the applicable Spanish Value Added Tax (IVA) at the standard rate of 21%.
- Governing Law and Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Kingdom of Spain, specifically the Spanish Civil Code (Código Civil) and the applicable regulations of the Community of Madrid. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the courts and tribunals of Madrid, Spain, with express waiver of any other jurisdiction that might otherwise apply.
- Confidentiality and Data Protection: The Occupational Therapist shall handle all patient information in strict compliance with the Spanish Organic Law 3/2018 de Protección de Datos Personales y garantía de los derechos digitales (LOPDGDD) and the European General Data Protection Regulation (GDPR). No patient data shall be disclosed to third parties without the prior written consent of the patient or as required by law.
- Professional Standards: The Occupational Therapist warrants that she holds a valid degree in Occupational Therapy (Grado en Terapia Ocupacional) recognized by the Spanish Ministry of Education and that her professional registration with the Colegio Oficial de Terapeutas Ocupacionales de Madrid is current and in good standing for the entire duration of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' prior written notice. The Buyer may terminate immediately in the event of material breach, loss of professional registration, or failure to maintain adequate liability insurance. Upon termination, the Buyer shall pay for all services satisfactorily rendered up to the effective date of termination.
- Subcontracting: The Occupational Therapist shall not subcontract, delegate, or assign any portion of the services described in this Purchase Order to any third party without the prior written consent of the Buyer.
- Force Majeure: Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure is caused by events beyond its reasonable control, including but not limited to natural disasters, epidemics, government-mandated closures, or acts of war, provided that the affected party notifies the other in writing within five (5) business days of the occurrence of such event.
- Intellectual Property: All clinical protocols, treatment plans, and documentation created specifically for the Buyer's patients during the term of this Purchase Order shall remain the property of the Buyer. The Occupational Therapist retains the right to use anonymized, aggregated data for academic research purposes, subject to prior written approval by the Buyer's ethics committee.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for the provision of Occupational Therapist services in Madrid, Spain. This document constitutes a binding agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter hereof.
