2. Description of Purchase – Occupational Therapist Services

This Purchase Order is issued by Nile Valley Rehabilitation & Healthcare Services Ltd. to formally engage the services of a qualified Occupational Therapist to provide comprehensive therapeutic interventions, assessments, and rehabilitation programmes for patients and clients within the Sudan Khartoum metropolitan area. The Occupational Therapist engaged under this Purchase Order shall be a licensed professional registered with the Sudanese Ministry of Health and the Sudan Occupational Therapy Association, possessing a minimum of five (5) years of post-qualification clinical experience in adult and paediatric occupational therapy.

The scope of services covered by this Purchase Order includes, but is not limited to: initial and ongoing occupational therapy assessments; development and implementation of individualised treatment plans; fine motor skill rehabilitation; adaptive equipment training and consultation; workplace and home environment modification assessments; sensory integration therapy; and provision of written progress reports to the referring medical team. All services shall be delivered at the designated clinical facility located in Sudan Khartoum, specifically at the Nile Valley Rehabilitation Centre, El Khartoum, unless otherwise agreed in writing by both parties.

All prices are quoted in Sudanese Pounds (SDG) and are inclusive of applicable Value Added Tax (VAT) at the prevailing rate in Sudan Khartoum. No additional charges shall be levied unless expressly authorised in writing via a formal amendment to this Purchase Order.

4. Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between Nile Valley Rehabilitation & Healthcare Services Ltd. (hereinafter "the Purchaser") and Al-Shifa Occupational Therapy & Rehabilitation Centre (hereinafter "the Supplier") upon signature by both authorised representatives.
  2. The Occupational Therapist engaged under this Purchase Order shall maintain valid professional indemnity insurance with a minimum coverage of SDG 5,000,000 throughout the duration of the contract and shall provide a certificate of insurance upon request.
  3. All clinical services shall be performed in strict compliance with the standards set by the Sudanese Ministry of Health, the Sudan Occupational Therapy Association, and the ethical code of practice governing the Occupational Therapist profession in Sudan Khartoum.
  4. The Supplier shall ensure that the Occupational Therapist assigned to this Purchase Order is available for a minimum of five (5) working days per week, Monday through Friday, between the hours of 08:00 and 17:00, with the option for Saturday morning sessions as required by the clinical schedule.
  5. Payment terms: The Purchaser shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices shall be submitted monthly and must reference this Purchase Order number (PO-NVH-2025-0487) and the corresponding line items.
  6. The Supplier shall provide a detailed monthly report summarising the number of Occupational Therapist sessions delivered, patient outcomes, and any deviations from the agreed treatment plans. Failure to submit reports for two consecutive months shall constitute a material breach of this Purchase Order.
  7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall be liable only for services rendered up to the effective date of termination.
  8. All patient records, assessment data, and clinical documentation generated by the Occupational Therapist in the course of this Purchase Order shall remain the property of the Purchaser and shall be stored in accordance with Sudanese data protection regulations applicable in Sudan Khartoum.
  9. Disputes arising under this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail, the matter shall be referred to the competent courts of El Khartoum, Sudan Khartoum, and the laws of the Republic of Sudan shall govern this agreement.
  10. This Purchase Order shall remain in full force and effect for a period of six (6) months from the date of issue, unless extended by mutual written agreement of both parties.
5. Acceptance and Authorisation

By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Occupational Therapist services in Sudan Khartoum.
