- This Purchase Order is issued by Bangkok Wellness & Rehabilitation Centre Co., Ltd. for the procurement of Occupational Therapist professional services to be delivered at the facility located in Thailand Bangkok. The service provider shall ensure all Occupational Therapist personnel hold valid licenses issued by the Thai Ministry of Public Health and are registered with the Thai Occupational Therapy Association.
- All Occupational Therapist services described in this Purchase Order shall commence no later than 01 August 2025 and shall continue for a period of twelve (12) months unless terminated earlier in accordance with Clause 8. The service provider guarantees that each Occupational Therapist assigned to this contract will have a minimum of five (5) years of clinical experience in their respective specialty area.
- Payment terms: Net 30 days from the date of invoice submission. Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer to the account designated by Siam Occupational Therapy Services Ltd. All payments are subject to the terms stated in this Purchase Order and applicable Thai commercial law.
- The service provider shall maintain comprehensive professional liability insurance covering all Occupational Therapist staff at a minimum coverage of THB 10,000,000 per incident. Certificates of insurance shall be provided prior to the commencement of services in Thailand Bangkok.
- All Occupational Therapist clinical records, patient assessments, and treatment plans generated under this Purchase Order shall be the property of Bangkok Wellness & Rehabilitation Centre Co., Ltd. and shall be stored in compliance with the Thai Personal Data Protection Act (PDPA) B.E. 2562 (2019).
- The service provider shall submit a monthly performance report detailing patient outcomes, session attendance, and any incidents or near-misses involving Occupational Therapist staff. Quarterly reviews shall be conducted jointly by both parties to evaluate the quality and effectiveness of services delivered in Thailand Bangkok.
- Any changes to the scope of Occupational Therapist services, staffing levels, or service locations within Thailand Bangkok must be approved in writing by both parties through a formal amendment to this Purchase Order. Verbal agreements shall not be binding.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the service provider shall ensure a minimum of two (2) weeks of transition support to maintain continuity of Occupational Therapist care for all active patients.
- This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be resolved through mediation in Bangkok, Thailand, before proceeding to the competent Thai courts.
- The service provider warrants that all Occupational Therapist personnel assigned under this Purchase Order shall comply with all applicable Thai labor laws, immigration regulations (for any foreign-qualified therapists), and professional ethical standards as defined by the Thai Occupational Therapy Association.
