Terms and Conditions of This Purchase Order

1. Scope of Engagement: This Purchase Order authorises the engagement of the named Occupational Therapist to deliver the clinical and professional services outlined above at the Meridian Health & Rehabilitation Centre premises located in Dubai, United Arab Emirates. The Occupational Therapist shall comply with all standards set by the Dubai Health Authority (DHA) and the UAE Ministry of Health and Prevention (MOHAP).

2. Commencement and Duration: Services shall commence on 1 July 2025 and continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 7. The Occupational Therapist must present a valid DHA professional licence and a current medical fitness certificate prior to the first day of service delivery in United Arab Emirates Dubai.

3. Payment Terms: Payment shall be made on a monthly basis within thirty (30) calendar days of receipt of a valid tax invoice. The Occupational Therapist shall submit invoices by the 5th of each month for services rendered in the preceding month. All payments shall be processed in United Arab Emirates Dirhams (AED) via bank transfer to the account specified on the invoice. Late payments shall attract interest at 2% per month as per UAE Commercial Transactions Law.

4. Compliance and Regulatory Obligations: The Occupational Therapist warrants that all clinical practices, patient documentation, and therapeutic interventions shall adhere to the DHA Clinical Practice Guidelines for Occupational Therapy (2024 edition) and the UAE Federal Law No. 20 of 2023 on the Protection of Personal Data. Any breach of regulatory compliance in United Arab Emirates Dubai shall render this Purchase Order voidable at the sole discretion of the Buyer.

5. Equipment and Materials: All therapeutic equipment procured under Line Item 4 shall be the property of Meridian Health & Rehabilitation Centre upon delivery and installation. The Occupational Therapist shall be responsible for the proper use, maintenance, and end-of-contract return of all such assets. Equipment must meet DHA medical device registration requirements before clinical use in Dubai.

6. Confidentiality and Data Protection: The Occupational Therapist shall maintain strict confidentiality of all patient records and clinical data in accordance with UAE data protection legislation. No patient information shall be stored on personal devices or transmitted outside the United Arab Emirates Dubai facility without written authorisation from the Buyer's Data Protection Officer.

7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. The Buyer may terminate immediately for material breach, loss of DHA licence, or failure to meet clinical KPIs as defined in the attached Service Level Agreement. Upon termination, all outstanding invoices for services rendered up to the termination date shall be settled within 45 days.

8. Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the United Arab Emirates. Any disputes arising herefrom shall be referred to the Dubai Courts, and in the event of commercial disputes exceeding AED 500,000, the parties agree to binding arbitration under the DIFC-LCIA Arbitration Rules in Dubai, United Arab Emirates.

9. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to government-mandated closures, epidemics, or natural disasters affecting the United Arab Emirates Dubai region.

All references to "United Arab Emirates Dubai" in this document denote the emirate of Dubai within the UAE as the exclusive jurisdiction of performance. This Purchase Order is valid for acceptance within fourteen (14) calendar days of the issue date.
