Description of ProcurementThis Purchase Order is issued by Integral Health Services C.A. to formally request and authorize the engagement of a qualified Occupational Therapist to provide comprehensive therapeutic services at our primary rehabilitation facility located in Venezuela Caracas. The Occupational Therapist shall be responsible for designing, implementing, and supervising individualized treatment programs for patients recovering from neurological injuries, orthopedic conditions, and developmental disorders. All services rendered under this Purchase Order must comply with the regulatory standards established by the Ministry of Popular Power for Health (MINSA) of Venezuela and the professional guidelines of the Venezuelan Association of Occupational Therapy (AVTO).

Terms and Conditions1. Scope of Work: The Occupational Therapist engaged under this Purchase Order shall report directly to the Director of Rehabilitation Services at the Integral Health Services C.A. facility in Venezuela Caracas. The Occupational Therapist must hold a valid license issued by the Venezuelan Ministry of Health and a minimum of five (5) years of post-graduate clinical experience in neurological and pediatric rehabilitation.
2. Service Period: All services described in this Purchase Order shall commence on July 1, 2025, and conclude on June 30, 2026, unless extended by mutual written agreement of both parties.
3. Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of an approved invoice. All payments shall be processed in US Dollars via wire transfer to the vendor's designated bank account in Venezuela Caracas. Late payments shall accrue interest at a rate of 1.5% per month.
4. Performance Standards: The Occupational Therapist must maintain a minimum patient satisfaction score of 85% as measured by quarterly internal audits. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.
5. Compliance: The vendor and the Occupational Therapist must adhere to all applicable Venezuelan labor laws, data protection regulations (Ley Orgánica de Protección de Datos Personales), and healthcare standards in force in Venezuela Caracas at the time of service delivery.
6. Insurance and Liability: The vendor shall maintain professional liability insurance with a minimum coverage of $500,000 USD for the duration of this Purchase Order. A certificate of insurance shall be provided prior to the commencement of services.
7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, all completed services shall be invoiced and paid in full within the standard payment period.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Venezuelan Chamber of Commerce.
9. Confidentiality: All patient records, clinical data, and proprietary treatment protocols accessed by the Occupational Therapist in the course of this Purchase Order shall remain strictly confidential and shall not be disclosed to any third party without written authorization.
