All physical goods shall be delivered to the designated locations in Algeria Algiers no later than 30 August 2025. The Seller is responsible for all shipping, customs clearance, import duties, and insurance costs associated with the delivery of equipment into Algeria. Upon arrival in Algiers, the Seller shall coordinate with the Oceanographer and the INOS-Algeria facilities management team to ensure proper unloading, installation, and initial commissioning of all instruments. The Oceanographer shall conduct a formal acceptance inspection within five (5) business days of delivery and sign the delivery acknowledgment form. Any defects, missing components, or non-conformities must be reported in writing within this period.

Payment for this Purchase Order shall be made in Algerian Dinars (DZD) via bank transfer to the Seller's designated account in Algiers, Algeria. The payment schedule is as follows: (a) 30% advance payment upon signature of this Purchase Order; (b) 50% upon confirmed delivery and acceptance inspection by the Oceanographer in Algiers; (c) 20% upon completion of the 24-month calibration and maintenance contract. Late payments shall incur a penalty of 1.5% per month as stipulated under Algerian commercial law. All invoices must reference this Purchase Order number (PO-ALG-2025-00847) and be submitted to the INOS-Algeria Finance Department in Hydra, Algiers.

6.1 This Purchase Order is governed by the laws of the People's Democratic Republic of Algeria. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Algiers, Algeria.

6.2 The Oceanographer, Dr. Amel Benali, is the designated technical authority for all equipment procured under this Purchase Order. The Seller shall provide full technical documentation, user manuals, and training sessions for the Oceanographer and supporting staff prior to final acceptance.

6.3 All equipment must comply with Algerian environmental regulations, maritime safety standards, and the requirements of the Algerian Ministry of Higher Education and Scientific Research. The Oceanographer shall ensure that all field operations in Algerian waters are conducted in full compliance with applicable national and international maritime law.

6.4 The Seller warrants that all goods are new, unused, and free from defects. The warranty period is a minimum of twenty-four (24) months from the date of acceptance in Algiers, Algeria.

6.5 Neither party may assign or transfer this Purchase Order without the prior written consent of the other party. This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.

6.6 The Seller shall maintain full insurance coverage for all goods in transit to Algeria Algiers and shall provide proof of insurance upon request by the Buyer or the Oceanographer.

This Purchase Order is hereby authorized and approved by the undersigned representatives of each party. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of oceanographic equipment and services for use by the Oceanographer in Algeria Algiers.
