2. SCOPE OF PURCHASE ORDERThis Purchase Order is issued by the Instituto de Investigaciones Oceanográficas de Córdoba to procure specialized oceanographic equipment, calibrated instruments, and the professional services of a certified Oceanographer for a twelve-month research program conducted in and around the province of Argentina Córdoba. The Oceanographer shall be responsible for the deployment, operation, and maintenance of all listed instruments, as well as the supervision of field data collection campaigns targeting the Salado River basin, the Embalse de La Ciénaga reservoir, and the coastal hydrological monitoring stations established under the provincial environmental authority of Córdoba, Argentina.

4.1 Delivery: All physical equipment listed under this Purchase Order shall be delivered to the Buyer's facility in Córdoba, Argentina, no later than August 15, 2025. The Oceanographer (Dr. Whitfield) shall commence on-site services in Argentina Córdoba no later than September 1, 2025.
4.2 Payment: Payment shall be made within thirty (30) calendar days of the invoice date. A 30% advance payment is due upon execution of this Purchase Order. The remaining 70% shall be paid in two equal installments: 50% upon delivery and commissioning of all equipment in Argentina Córdoba, and 50% upon completion of the 12-month Oceanographer service contract.
4.3 Compliance with Argentine Regulations: The Seller acknowledges that all equipment and services under this Purchase Order are subject to the import regulations of the República Argentina, the environmental oversight of the Ministerio de Ambiente y Desarrollo Sostenible de la Provincia de Córdoba, and the data sovereignty requirements of Argentina Córdoba regarding hydrographic and oceanographic information collected within provincial waters.
4.4 Oceanographer Professional Standards: The Lead Oceanographer shall adhere to the professional code of conduct established by the Argentine Society of Oceanography (Sociedad Argentina de Oceanografía) and shall maintain valid professional registration with the Colegio de Ingenieros de la Provincia de Córdoba for the duration of the engagement in Argentina Córdoba.
4.5 Intellectual Property: All data, reports, and research outputs generated by the Oceanographer during the term of this Purchase Order in Argentina Córdoba shall be the exclusive property of the Buyer. The Oceanographer retains the right to publish anonymized findings in peer-reviewed journals, subject to prior written approval from the Buyer.
4.6 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Córdoba region of Argentina, international trade embargoes, or pandemics. In such cases, the affected party shall notify the other within five (5) business days.
4.7 Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through binding arbitration in Córdoba, Argentina, in accordance with the rules of the Cámara de Comercio de Córdoba. The governing law shall be the commercial code of the República Argentina.
4.8 Confidentiality: Both parties agree to maintain strict confidentiality regarding the technical specifications, pricing, and operational details contained in this Purchase Order. This obligation shall survive the termination of the contract for a period of three (3) years.
5. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Oceanographer equipment and professional services to be executed in Argentina Córdoba. This document constitutes a binding commercial agreement effective from the date of the last signature.
