This Purchase Order is issued to procure the professional services of a qualified Oceanographer along with specialized oceanographic instrumentation and field equipment. The Oceanographer shall conduct a comprehensive hydrographic and biogeochemical survey of the Scheldt Estuary and the adjacent North Sea sector, with all operational activities, data processing, and reporting to be carried out within the administrative boundaries of Belgium Brussels and its designated coastal research zones. The Oceanographer is expected to hold a minimum of a Master's degree in Oceanography or Marine Sciences and possess at least ten (10) years of documented field experience in European coastal and open-ocean environments.

3.1 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. All disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the competent courts of Belgium Brussels. The Oceanographer acknowledges and agrees to comply with all applicable Belgian federal and regional regulations pertaining to marine research, environmental protection, and data handling.
3.2 Place of Performance: All services rendered under this Purchase Order, including but not limited to data analysis, report preparation, client meetings, and equipment handover, shall be performed at the Buyer's premises located in Belgium Brussels or at such other locations within Belgium Brussels as mutually agreed in writing. Field operations in coastal zones shall be coordinated from the Oceanographer's operational base in Belgium Brussels.
3.3 Delivery and Acceptance: The Oceanographer shall deliver all oceanographic equipment no later than 30 June 2025 to the designated receiving facility in Belgium Brussels. The Buyer shall have fifteen (15) calendar days from the date of delivery to inspect and accept or reject the equipment. The final scientific report shall be delivered in both digital (PDF) and hard-copy (three bound copies) formats to the Buyer's Directorate in Belgium Brussels no later than 30 November 2025.
3.4 Payment Terms: Payment shall be made in three (3) installments via bank transfer to the Oceanographer's designated Belgian bank account: (a) 40% upon signing of this Purchase Order; (b) 40% upon successful delivery and acceptance of all oceanographic equipment in Belgium Brussels; (c) 20% upon final acceptance of the scientific report. All payments are subject to the standard 30-day payment period as stipulated under Belgian commercial law (Code de commerce, Article 578).
3.5 Intellectual Property: All data, reports, and intellectual property generated by the Oceanographer in the course of fulfilling this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Oceanographer retains the right to publish anonymized findings in peer-reviewed journals, subject to a 90-day prior review period by the Buyer's scientific committee in Belgium Brussels.
3.6 Health, Safety, and Environmental Compliance: The Oceanographer shall ensure full compliance with all Belgian and European Union occupational health and safety regulations, as well as the Belgian Environmental Code, during all field operations. A detailed risk assessment and environmental impact statement must be submitted to the Buyer in Belgium Brussels prior to the commencement of any fieldwork.
3.7 Insurance: The Oceanographer shall maintain, at their own expense, comprehensive professional liability insurance with a minimum coverage of EUR 1,000,000 per occurrence, valid throughout the Kingdom of Belgium, for the entire duration of this Purchase Order. A certificate of insurance shall be provided to the Buyer in Belgium Brussels before the start of any field operations.
3.8 Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Oceanographer shall be compensated for all services rendered and equipment delivered up to the effective date of termination, as verified by the Buyer's audit team in Belgium Brussels.
3.9 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary data, methodologies, and commercial terms contained in this Purchase Order. This obligation shall survive the termination or expiration of this Purchase Order for a period of five (5) years.
