This Purchase Order is issued by the Ethiopian Institute of Marine and Aquatic Sciences, located in Ethiopia Addis Ababa, for the procurement of specialized Oceanographer services and associated oceanographic instrumentation. All physical goods, equipment, and materials specified in this Purchase Order shall be delivered to the Ethiopian Institute of Marine and Aquatic Sciences, Bole Sub-City, Ethiopia Addis Ababa, 1000. The Oceanographer's on-site presence in Ethiopia Addis Ababa shall commence no later than 1 August 2025 and shall be maintained for the full twelve-month contract duration. The Oceanographer is expected to reside and operate primarily from the Institute's headquarters in Ethiopia Addis Ababa, with periodic field deployments to designated aquatic sites in the Amhara and Oromia regions as directed by the Institute's Chief Scientist.
3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All terms herein shall be governed by the laws of the Federal Democratic Republic of Ethiopia and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
3.2 The Oceanographer engaged under this Purchase Order shall comply with all Ethiopian federal and regional environmental regulations, including the Environmental Protection Authority (EPA) permits for water sampling and field research. The Oceanographer shall submit a detailed work plan to the Institute's Director within fourteen (14) days of arrival in Ethiopia Addis Ababa.
3.3 Payment shall be made in United States Dollars (USD) via international wire transfer to the Supplier's designated bank account within forty-five (45) days of receipt of a valid invoice and confirmation of satisfactory delivery of the applicable milestone. A 10% retention shall be withheld from each progress payment and released upon final acceptance of all deliverables.
3.4 The Supplier warrants that the Oceanographer possesses a minimum of fifteen (15) years of professional experience in physical and chemical oceanography, limnology, or hydrography, and holds a doctoral degree (Ph.D.) in a relevant discipline. The Oceanographer shall provide copies of academic credentials, professional references, and a current CV as an annex to this Purchase Order.
3.5 All intellectual property, data sets, and publications generated by the Oceanographer during the term of this Purchase Order shall be jointly owned by the Buyer and the Supplier, with the Buyer retaining primary rights for academic and governmental use within Ethiopia Addis Ababa and the broader Ethiopian territory.
3.6 In the event of non-performance, the Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice. The Supplier shall refund any pre-paid amounts for undelivered services or goods within sixty (60) days of termination.
3.7 Disputes arising from this Purchase Order shall be resolved through arbitration in Addis Ababa, Ethiopia, in accordance with the rules of the Ethiopian Arbitration and Conciliation Institute. The language of arbitration shall be English.
Note: The Oceanographer must obtain a valid Ethiopian work permit and residence visa prior to commencing duties in Ethiopia Addis Ababa. The Buyer shall facilitate the visa application process, but the Supplier is responsible for all associated costs. The Oceanographer shall also register with the Ethiopian Ministry of Science and Higher Education as a visiting research professional. All equipment imported under this Purchase Order is exempt from customs duties pursuant to the Ethiopian Research and Academic Import Exemption Directive (Proclamation No. 1121/2019).
