This Purchase Order is issued by Oceanographer S.A.S., a marine research and oceanographic instrumentation company headquartered in France Lyon, for the procurement of specialized deep-sea monitoring equipment, laboratory-grade sensors, and associated calibration services. This Purchase Order governs the terms, conditions, pricing, and delivery obligations between Oceanographer S.A.S. (hereinafter referred to as the "Buyer") and Meridian Scientific Instruments Ltd. (hereinafter referred to as the "Supplier"). All transactions referenced in this Purchase Order shall be conducted in accordance with the commercial laws of the French Republic and the applicable provisions of the European Union regarding cross-border trade within the European Economic Area.

The equipment specified in this Purchase Order is intended for deployment at the Oceanographer's primary research station located in the Rhône River basin near France Lyon, as well as for use in the company's offshore monitoring programme along the Mediterranean coast. The Buyer requires all items to meet the technical specifications outlined in Annex A (attached separately) and to comply with the French regulatory standards for marine scientific instrumentation as defined by the Institut National de l'Environnement Industriel et des Risques (INERIS).

All goods covered by this Purchase Order shall be delivered to the Oceanographer research facility at 42 Quai de Serbie, 69002 France Lyon, no later than 05 August 2025. Delivery shall be made in accordance with the DDP (Delivered Duty Paid) Incoterm 2020, meaning the Supplier assumes all risks, costs, and responsibilities for transport, insurance, customs clearance, and any applicable French import duties until the goods are physically received at the Buyer's designated location in France Lyon. The Supplier shall provide a minimum of ten (10) business days' written notice prior to delivery, including a detailed packing list and bill of lading.

Upon receipt, the Buyer's technical team at the France Lyon facility shall conduct a visual inspection and a preliminary functional test within five (5) business days. Formal acceptance shall be confirmed in writing by the Oceanographer's Quality Assurance Manager. Any non-conformity identified during this period shall be reported to the Supplier within the same timeframe, and the Supplier shall rectify or replace the affected items at no additional cost to the Buyer.

Payment for this Purchase Order shall be made by bank transfer (SEPA) to the account designated by the Supplier. The payment schedule is as follows: thirty percent (30%) of the Grand Total shall be due within fifteen (15) business days of the date of this Purchase Order as a mobilisation advance; sixty percent (60%) shall be due within thirty (30) business days of confirmed delivery and acceptance at the France Lyon site; and the remaining ten percent (10%) shall be due within sixty (60) business days of the completion of the on-site training and commissioning service. Late payments shall incur interest at a rate of 1.5% per month, in accordance with French commercial law (Code de commerce, Article L441-10).

The Supplier warrants that all equipment supplied under this Purchase Order shall be new, free from defects in material and workmanship, and shall conform to the specifications agreed upon in Annex A. The standard warranty period is twenty-four (24) months from the date of acceptance at the France Lyon facility. In the event of a breach of warranty, the Supplier shall repair or replace the defective item within thirty (30) calendar days at its own expense.

Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. Should negotiation fail to resolve the matter within thirty (30) days, the dispute shall be referred to the competent commercial courts of Lyon, France. The governing law for this Purchase Order shall be the law of the French Republic.

  • This Purchase Order constitutes the entire agreement between Oceanographer S.A.S. and the Supplier with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
  • No modification, amendment, or waiver of any provision of this Purchase Order shall be effective unless made in writing and signed by authorised representatives of both parties.
  • The Supplier shall maintain adequate insurance coverage for the goods in transit to France Lyon and shall provide a certificate of insurance upon request.
  • All intellectual property rights in the equipment, firmware, and associated documentation remain the property of the Supplier, with a non-exclusive, non-transferable licence granted to Oceanographer S.A.S. for operational use at its France Lyon and other French research sites.
  • The Supplier shall comply with all applicable French and EU environmental, health, and safety regulations during the delivery and installation phases in France Lyon.
  • This Purchase Order is subject to the standard terms and conditions of Oceanographer S.A.S. as published on the company's official website, which are incorporated herein by reference.
