2. Purpose and Scope of This Purchase Order
This Purchase Order is issued by the Institut Océanographique de Paris to procure specialized oceanographic research equipment, calibration services, and professional support required by the designated Oceanographer, Dr. Élise Marchand, for the upcoming Mediterranean and Atlantic marine research programme. All equipment and services referenced in this Purchase Order shall be delivered, installed, and commissioned at the research facility located in France Paris. The Oceanographer shall be the primary operator and custodian of all instruments procured under this Purchase Order throughout the duration of the research project, which spans from July 2025 through June 2026.
The scope of this Purchase Order encompasses the supply of submersible sensor arrays, water sampling apparatus, data acquisition systems, and associated software licences. Additionally, the Seller is contracted to provide on-site installation and calibration support in France Paris for a period of five (5) business days following delivery. 4. Delivery and Installation Terms
All goods specified in this Purchase Order shall be delivered to the Institut Océanographique de Paris, 12 Quai de la Marine, 75015 France Paris, no later than 1 July 2025. Delivery shall be DDP (Delivered Duty Paid) in accordance with Incoterms 2020. The Seller bears full responsibility for customs clearance, import duties, and transport insurance until the equipment is received and signed for by the Oceanographer or her designated representative at the France Paris premises.
Installation and calibration services (Item 06) shall commence within three (3) business days of delivery and shall be completed within five (5) business days. The Oceanographer, Dr. Marchand, shall be present for all calibration sessions to verify instrument accuracy against her established reference protocols.
5. Payment Terms
- 30% Advance Payment: EUR 96,786.00 due within ten (10) business days of acceptance of this Purchase Order, payable by wire transfer to the Seller's designated account.
- 50% on Delivery: EUR 161,310.00 due within fifteen (15) business days of confirmed delivery and acceptance of all goods at the France Paris facility.
- 20% on Commissioning: EUR 64,524.00 due within ten (10) business days of successful completion of installation, calibration, and the Oceanographer's written sign-off certifying full operational readiness.
- All payments shall be made in Euros (EUR) to the account details provided in the Seller's commercial invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with French commercial law (Code de commerce, Article L441-10).
6. Warranties, Compliance, and Intellectual Property
The Seller warrants that all equipment supplied under this Purchase Order shall be new, free from defects in material and workmanship, and fully compliant with the European Union's Marine Equipment Directive (MED) 2014/90/EU and applicable French regulatory standards. The warranty period shall be twenty-four (24) months from the date of commissioning at the France Paris site.
All data generated by the Oceanographer using the procured instruments shall remain the exclusive intellectual property of the Institut Océanographique de Paris. The Seller shall not retain, reproduce, or distribute any research data, sensor readings, or analytical outputs produced during the operational life of the equipment. The Oceanographer's proprietary methodologies and calibration procedures shall be treated as confidential information under this Purchase Order.
7. Cancellation and Dispute Resolution
Either party may cancel this Purchase Order in writing with a minimum of thirty (30) days' prior notice. In the event of cancellation by the Buyer after the advance payment has been made, the Seller shall be entitled to retain the advance payment as liquidated damages, provided that no goods have been shipped. Any disputes arising from this Purchase Order shall be resolved through arbitration in France Paris under the rules of the International Chamber of Commerce (ICC). The governing law for this Purchase Order shall be the law of the French Republic.
8. Acceptance and Authorization
By signing below, the authorized representatives of both parties confirm that this Purchase Order has been reviewed, understood, and accepted in its entirety. This document constitutes a binding agreement for the procurement of oceanographic equipment and services for the Oceanographer's research programme based in France Paris.
